  • Tenant then shall have an option to be the provider to Landlord under a Health Care Service Agreement with Landlord on the same terms as set forth in such ROFR Offer Notice, which terms must be commercially reasonable.

  • In no event shall District be obligated to deliver a Transfer Notice under (a), above, or a ROFR Offer Notice prior to granting an easement or license to use any portion of the Center for non- healthcare purposes, or (ii) leasing of office space to a physician as permitted under Section 11.2(n) of the Lease.

  • Each Member who does not deliver a ROFR Offer Notice shall be deemed to have waived all of such Member’s ROFR rights under this Section.
