ROFR Rightholder definition

ROFR Rightholder has the meaning set forth in Section 3.02(a).

More Definitions of ROFR Rightholder

ROFR Rightholder has the meaning set forth in Section 9.03(a).
ROFR Rightholder means each of the KKR Member and the Silver Point Member; provided, however, that if the KKR Member of the Silver Point Member is the ROFR Transferring Member in any applicable Transfer, then such ROFR Transferring Member shall not be a ROFR Rightholder with respect to such Transfer.

  • ROFR means a right of first refusal to purchase or a right of first offer to purchase one or more of the Mortgaged Properties pursuant to a recorded instrument (or a memorandum thereof) encumbering the applicable Mortgaged Property.

  • First Refusal Right means the right granted to the Corporation in accordance with Article E.

  • Transferring Member has the meaning set forth in Section 9.4.

  • Preemptive Right has the meaning set forth in Section 9.6(a).

  • Eligible Holder means a Limited Partner whose (a) federal income tax status would not, in the determination of the General Partner, have the material adverse effect described in Section 4.9(a)(i) or (b) nationality, citizenship or other related status would not, in the determination of the General Partner, create a substantial risk of cancellation or forfeiture as described in Section 4.9(a)(ii).

  • Selling Member has the meaning set forth in Section 10.5(a).

  • Rights Holder means the holder of the Call Rights.

  • Major Holder means with respect to any registration the Holder that, together with its Affiliates, includes the largest number of Registrable Securities in such registration.

  • FTR Holder means the PJM Member that has acquired and possesses an FTR.

  • Major Investor means any Investor that, individually or together with such Investor’s Affiliates, holds at least 1,000,000 shares of Registrable Securities (as adjusted for any stock split, stock dividend, combination, or other recapitalization or reclassification effected after the date hereof).

  • First Offer Notice shall have the meaning set forth in Section 14.4(a).

  • Secondary Refusal Right means the right, but not an obligation, of each Investor to purchase up to its pro rata portion (based upon the total number of shares of Capital Stock then held by all Investors) of any Transfer Stock not purchased pursuant to the Right of First Refusal, on the terms and conditions specified in the Proposed Transfer Notice.

  • Warrant Holder means the holder of a Call Warrant.

  • Put Right has the meaning set forth in Section 8.05(a).

  • Other Holder has the meaning specified in Section 2.2(b).

  • ROFO Notice is defined in Section 6.2(a).
