Rolling Monthly Forecast definition

Rolling Monthly Forecast has the meaning set forth in Section 3.1 of this Agreement.
Rolling Monthly Forecast means a rolling [**] month forecast specifying Product Requirements and Placebo Requirements for each month of such forecast, starting with the calendar month following the due date of such forecast.
Rolling Monthly Forecast shall have the meaning set forth in Section 3.3.

Examples of Rolling Monthly Forecast in a sentence

  • Provided that Manufacturer has the capacity and is not in default of its obligations hereunder, the Company shall purchase at least eighty percent (80%) (the “Monthly Purchase Requirement”) of the forecasted quantity of Products or Packaged Tablets set forth in the most recent Rolling Monthly Forecast provided by the Company pursuant to Section 3.2(a) for the applicable month.

  • In the event Company fails to purchase the Monthly Purchase Requirement in any given month, it shall not be a default hereunder provided that Company (i) purchases at least fifty (50%) percent of such Monthly Purchase Requirement of Products and Packaged Tablets every month and (ii) purchases a cumulative quantity of Products and Packaged Tablets of at least eighty (80%) per cent of the Rolling Monthly Forecast for the applicable month and subsequent two (2) months.

  • Provided that Manufacturer has the capacity and is not in default of its obligations hereunder, the Company shall purchase [***] (the “Monthly Purchase Requirement”) of the forecasted quantity of Products or Packaged Tablets set forth in the most recent Rolling Monthly Forecast provided by the Company pursuant to Section 3.2(a) for the applicable month.

  • For clarity the Rolling Monthly Forecast delivered in […***…] of each calendar year shall be deemed the Annual Forecast on which Talis’ annual purchase commitments will be calculated for the following calendar year, as described in additional detail in Section 3.4(a).

  • Genentech shall thereafter provide to OSI during the term of this Agreement: (a) an updated Rolling Monthly Forecast on ** or the subsequent business day if ** is a Saturday, Sunday or a holiday on which a majority of banks are closed in New York, NY; and (b) an updated Three-Year Forecast on **, or the subsequent business day if ** is a Saturday, Sunday or a holiday on which a majority of banks are closed in New York, NY.

  • On or before the 15th of each month, SpectraPoint shall provide REMEC with a written forecast specifying the quantities and expected delivery schedule for the following 12 calendar months for each Product (Rolling Monthly Forecast).

  • In the event Bellicum’s aggregate purchases of Miltenyi Products from Miltenyi under this Agreement in any Calendar Year during the Term is less than [...***...]% of the Rolling Monthly Forecast subject to Sections 5.1 and 5.3, at the beginning of that Calendar Year or €[...***...] ([...***...] Euros), whatever is higher, (the “Minimum Purchase”), then Miltenyi shall provide written notice to Bellicum of such shortfall.

Rolling Monthly Forecast means a rolling twelve (12) month forecast specifying Genentech's Commercial and Clinical Requirements, broken down by quantity of each dosage strength, starting with the calendar month following the due date of such forecast.

  • Rolling Forecast has the meaning set forth in Section 4.2.

  • Billing Month is defined in Section 9.1(b).

  • Forecast means the hourly forecast of (a) the total electric energy production of the Generating Facility (in MWh) when the Generating Facility is not PIRP-eligible or Buyer is not Scheduling Coordinator net of the Site Host Load and Station Use, or (b) the available total generation capacity of the Generating Facility (in MW) when the Generating Facility is PIRP-eligible and Buyer is Scheduling Coordinator net of the Site Host Load and Station Use.

  • Forecast Period means the period of three calendar months for which a Forecast is provided;

  • Forecast GDP means the average forecast for British Columbia’s real GDP growth made by the Economic Forecast Council and as reported in the annual February budget of the government;

  • Contract Year means each period of twelve (12) consecutive months during the Initial Term of this Agreement, with the first Contract Year commencing on the Effective Date, and with each subsequent Contract Year commencing on the anniversary of the Effective Date.

  • Average monthly discharge limitation means the highest allowable average of "daily discharges" over a calendar month, calculated as the sum of all "daily discharges" measured during a calendar month divided by the number of "daily discharges" measured during that month. Compliance with fecal coliform bacteria or E coli bacteria limitations shall be determined using the geometric mean.

  • PJM Region Peak Load Forecast means the peak load forecast used by the Office of the Interconnection in determining the PJM Region Reliability Requirement, and shall be determined on both a preliminary and final basis as set forth in Tariff, Attachment DD, section 5.

  • Mid-Month Receipt Period With respect to each Distribution Date, the one month period beginning on the Determination Date (or, in the case of the first Distribution Date, from and including the Cut-Off-Date) occurring in the calendar month preceding the month in which such Distribution Date occurs and ending on the day preceding the Determination Date immediately preceding such Distribution Date.

  • Prior Month Receipt Period With respect to each Distribution Date, the calendar month preceding the month in which such Distribution Date occurs.

  • Operating Month for a Shipper or Transferor means any calendar month in which Carrier either transports Crude Petroleum or recognizes and records a change in ownership of Crude Petroleum for the account of such Party.   • Quarterly (1/Quarter) sampling frequency means the sampling shall be done in the months of March, June, August, and December, unless specifically identified otherwise in the Effluent Limitations and Monitoring Requirements table.

  • Monthly Reporting Period The period during which servicers report Mortgage payments to the Administrator, generally consisting of the calendar month preceding the related Payment Date for Gold PCs and the second calendar month preceding the related Payment Date for ARM PCs, which period the Administrator has the right to change as provided in Section 3.05(d) of this Agreement; provided, however, that with respect to prepayments on PCs issued before September 1, 1995, the Monthly Reporting Period generally is from the 16th of a month through the 15th of the next month.

  • Proration Month means the month for which capacity is to be allocated under Item 7.

  • Model Year means the CI engine manufacturer’s annual production period, which includes January 1st of a calendar year, or if the manufacturer has no annual production period, the calendar year.
