Rule 2.7 Announcement definition

Rule 2.7 Announcement means (in relation to a Scheme) a Scheme Press Release or (in relation to an Offer) an Offer Press Release.

Rule 2.7 Announcement means the announcement to be made by the Parties pursuant to Rule 2.7 of the Irish Takeover Rules for the purposes of the Acquisition, in the form agreed to by or on behalf of the Parties.

Rule 2.7 Announcement means the press announcement in the agreed form released by the Borrower and the Target to announce a firm intention on the part of the Borrower to make an offer to acquire Target Shares on the terms of the Scheme (or the Offer) in accordance with Rule 2.7 of the Takeover Code, as supplemented and/or corrected from time to time in accordance with the Takeover Code and, in each case, to the extent permitted by this Agreement.

This Agreement, together with the Confidentiality Agreement, the Rule 2.7 Announcement and any documents delivered by Parent and the Company in connection herewith (including the Company Disclosure Schedule), constitutes the entire agreement and supersedes all prior agreements and understandings, both written and oral, between Parent and the Company with respect to the subject matter hereof, it being understood that the Confidentiality Agreement shall survive the execution and delivery of this Agreement.
