Sale Facility definition

Sale Facility means the arrangement under which a Designated Member is required to transfer their shares to the Sale Nominee on the basis that the Sale Nominee is entered in the Register in respect of those Sale Shares, and will sell the Sale Shares for cash to pay the Sale Consideration to the relevant Designated Member;

Sale Facility or “Sale Facilities” shall mean the Xxxxxx Facility, the Athens Facility, the Saginaw Steering Facility, and the Sandusky Facility.

Sale Facility means the facility described in Section 3.3 of the Scheme Booklet.

Examples of Sale Facility in a sentence

• For the purpose of this rounding calculation, the Existing Units held by the Sale Nominee under the Sale Facility will be treated as if they represented separate holdings of those Ineligible Foreign Securityholders who transferred those Existing Units to the Sale Nominee, with the rounding calculation applying to each such separate holding.

• Sale Facility Account means the account established by the Sale Nominee in its own name, to which the Sale Nominee must deposit all funds received in respect of the Sale Securities.

• Scheme Consideration means, in respect of each Scheme, that number of Units as set out in the Scheme to be issued to Scheme Participants at the application price set out in clause 14.1. Scheme Participant means an Investor at 7pm on the Record Date (other than an Ineligible Foreign Securityholder) and the Sale Facility Agent, and Scheme Participants means all of them.

• Sale Consideration means the average price (net of transaction costs including without limitation any applicable brokerage, stamp duty and other taxes or charges) at which those Stapled Securities held by the Sale Nominee are sold under the Sale Facility, multiplied by the number of Stapled Securities held by and sold by the Sale Nominee for, the relevant Designated Foreign Investor.

• Unit Sale Facility Transfer Form means, for each Ineligible Foreign Securityholder, a duly completed and executed proper instrument of transfer for the Units to the RE for the purposes of section 1071B of the Corporations Act, which may be a master transfer form.

Sale Facility means the facility to be established by the Sale Agent under which the Clean TeQ Water Shares to which Ineligible Foreign Shareholders and Selling Shareholders would otherwise be entitled under the Demerger will be transferred to the Sale Agent and sold on their behalf as described more fully in Section 8.6.

Sale Facility means a facility to be established by ABR and managed by the Sale Agent under which the Scheme Consideration which otherwise would be received by Ineligible Foreign Shareholders will be sold in accordance with the Scheme and the agreement to be entered into between ABR and the Sale Agent. Scheme means the scheme of arrangement, substantially in the form set out in Annexure 1 under Part 5.1 of the Corporations Act between ABR and ABR Shareholders as described in clause 4, subject to any alterations or conditions made or required by the Court under section 411(6) of the Corporations Act and approved in writing by ABR and Holdco.

Sale Facility means each Listed Sale Facility and each Additional Sale Facility.
