Scheme Booklet definition

Scheme Booklet means the explanatory memorandum (including the notice of meeting and proxy form) to be prepared in accordance with this agreement in connection with the Scheme, the despatch of which is to be approved by the Court and which is to be sent to Shareholders in advance of the Scheme Meeting.
Scheme Booklet means, in respect of the Scheme, the information booklet to be approved by the Court and despatched to Cenntro Shareholders which includes the Scheme, an explanatory statement complying with the requirements of the Corporations Act and notice of meeting and proxy forms.
Scheme Booklet means the booklet to be prepared in accordance with this Agreement in connection with the Scheme Meeting and Scheme Resolution (including the notice of meeting, explanatory materials and disclosures and proxy form), the despatch of which is to be, or has been, approved by the Court and which is to be, or has been, sent to Shareholders in advance of the Scheme Meeting.

  • Except as otherwise provided in this deed, each party will pay its own costs and expenses in connection with the negotiation, preparation, execution, and performance of this deed and the Scheme Booklet and the proposed, attempted or actual implementation of this deed and the Scheme.

  • Each party must undertake appropriate verification processes for the information supplied by that party in the Scheme Booklet.

  • Regulator’s Draft means the draft of the Scheme Booklet in a form which is provided to ASIC for review for the purposes of Regulatory Guide 74.

  • Review drafts of the Scheme Booklet prepared by the Target and provide any comments on those drafts as soon as practicable.

  • Even if there is a dispute as to the form or content of the Scheme Booklet and the parties use this procedure, the parties will continue to perform their obligations under this agreement.


More Definitions of Scheme Booklet

Scheme Booklet means the information to be dispatched to the Shareholders including the Explanatory Statement, a report by the Independent Expert, a copy of the Scheme, the Deed Poll and the Implementation Deed and notices convening the Scheme Meeting (together with proxy forms) in such form as the parties may agree in writing.
Scheme Booklet means the document including the information described in clause 6.1(a) to be approved by the Court and dispatched to Target Shareholders.
Scheme Booklet means the explanatory statement (including the independent expert's report, notices of meetings and proxy forms) to be prepared in accordance with the Corporations Act in relation to the Scheme, the dispatch of which is to be approved by the Court on the First Court Date and which is to be sent to Carbon Revolution shareholders in advance of the Scheme Meeting.
Scheme Booklet means the explanatory statement in respect of the Schemes, which will contain (among other things) the Independent Expert’s Report (or a concise version of that report), a notice of meeting in respect of the APN PG Scheme Meeting and Trust Scheme Meeting and a proxy form. Scheme Consideration means, in respect of each Scheme Security, 91.5 cents as adjusted in accordance with clause 5.1(c) (if applicable).
Scheme Booklet has the meaning given to it in clause 11.2.3;
Scheme Booklet means a document (or the relevant sections of the Form S-4 comprising the Scheme Booklet) (including any amendments or supplements thereto) to be dispatched to Anaconda Shareholders containing (a) details of the Scheme, (b) the notice or notices of the Scheme Meeting, (c) an explanatory statement as required by the Australian Act, the Australian Regulations and RG 60 and as may be required by Canadian Securities Laws and the TSX Company Manual with respect to the Scheme, (d) the IER, (e) such other information as may be required or necessary pursuant to the Australian Act and (f) such other information as Anaconda and Lion shall agree (acting reasonably).
Scheme Booklet means the booklet as approved by the Court pursuant to section 411(1) of the Corporations Act and sent to the holders of CSR’s ordinary shares pursuant to section 412(l)(a) of the Corporations Act explaining the Demerger and containing the explanatory statement in relation to the Scheme. Subsidiary has the same meaning as in the Corporations Act.
