Sanwa Territory definition

Sanwa Territory means Japan, Korea, Taiwan, and the People's Republic of China.
Sanwa Territory means Japan and the other countries listed on Exhibit 2 hereto.   • Each party to this Agreement covenants and agrees that the Research Program shall be its sole and exclusive activity within the Field in the Sanwa Territory during the term of this Agreement.

  • Unless the Parties otherwise agree, Sanwa shall assume the primary responsibility for the conduct of the defense of any such claim brought in the Sanwa Territory.

  • Sanwa will have the exclusive rights to exploit the Joint Inventions and information concerning Active Compounds in the Sanwa Territory including, without limitation, the right to grant licenses to third parties to practice the Joint Inventions and develop and commercialize Active Compounds, without any obligation [*].

  • Terrapin shall maintain the confidentiality of all information received from Sanwa regarding such Licensed Products, and Terrapin shall use all such information solely for the purpose of evaluating whether Terrapin is interested in developing and commercializing such Licensed Products in the Field outside the Sanwa Territory.

  • Terrapin shall confer with Sanwa on the content of all filings with the United States Patent and Trademark Office (or the foreign equivalent), and, taking into account Sanwa's knowledge and expertise with respect to filing and maintaining patents in the Sanwa Territory, shall provide Sanwa with the opportunity to review the content of such filings prior to their submission to such authorities and give due consideration to its recommendations thereto.

  • Terrapin covenants and agrees that during the term of this Agreement, it will not license compounds to third parties in the Sanwa Territory where the development of such compounds is directed toward the Field.

  • Licensed Territory means worldwide.

  • U.S. Territory means American Samoa, the Commonwealth of the Northern Mariana Islands, Guam, the Commonwealth of Puerto Rico, or the U.S. Virgin Islands.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and

  • Licensed Field means all fields of use.

  • Relevant Territory means Hong Kong or such other territory as the Directors may from time to time decide if the issued ordinary share capital of the Company is listed on a stock exchange in such territory;

  • Licensed Product means any pharmaceutical product containing a Licensed Compound (alone or with other active ingredients), in all forms, presentations, formulations and dosage forms.

  • Collaboration Product means any pharmaceutical product in finished form that contains a Collaboration Compound, either as the sole active ingredient or in combination with one or more other active ingredients, and all present and future formulations, dosages and dosage forms thereof.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Field of Use means all fields.

  • Commercialization or “Commercialize” means any and all activities undertaken at any time for a particular Licensed Product and that relate to the manufacturing, marketing, promoting, distributing, importing or exporting for sale, offering for sale, and selling of the Licensed Product, and interacting with Regulatory Authorities regarding the foregoing.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Service Territory means the geographic area within which PG&E as a Utility Distribution Company is authorized and required to provide electric transmission and distribution service.
