Schedule of Adjustments has the meaning set forth in Section 3.3(b).

"Tax" or "Taxes" means all taxes, charges, fees, levies, imposts and other assessments, including all income, sales, use, goods and services, value added, capital, capital gains, alternative, net worth, transfer, profits withholding, payroll, employer health, excise, real property and personal property taxes, and any other taxes, customs duties, fees, assessments or similar charges in the nature of a tax, including Canadian Employee Plans and provincial pension plan contributions, unemployment insurance payments and workers compensation premiums, together with any installments with respect thereto, and any interest, fines and penalties, imposed by any governmental authority (including federal, state, provincial, territorial, municipal and foreign governmental authorities), and whether disputed or not. "Transferred Employees" has the meaning set forth in Section 7.1. "U.S. Final Closing Date Balance Sheet" means the balance sheet of Seller prepared as of the Closing Date in accordance with the procedures in Section 2.5 and included (but not consolidated) in the Final Closing Date Balance Sheet.

  • True-Up Adjustment means any Annual True-Up Adjustment or Interim True-Up Adjustment, as the case may be.
