the First Variation Agreement means the agreement a copy of which is set forth in the Second Schedule;
Original Facility Agreement means the facility agreement dated 19 December 2018 and made between, amongst others, (i) the Borrower, (ii) the Lenders, (iii) the Mandated Lead Arrangers, (iv) the Facility Agent and the SACE Agent and (v) the Security Trustee.
First Amendment Date means February 21, 2019.
Extended Summer Resource Price Adder means, for Delivery Years through May 31, 2018, an addition to the marginal value of Unforced Capacity as necessary to reflect the price of Annual Resources and Extended Summer Demand Resources required to meet the applicable Minimum Extended Summer Resource Requirement.
Second Amendment Date means the date of the Second Amendment.

Third Amendment Date means June 23, 2020.
Amendment No. 6 Effective Date has the meaning set forth in Amendment No. 6.

Second Extended Maturity Date has the meaning set forth in Section 2.10.

Limited Resource Price Decrement means, for the 2017/2018 Delivery Year, a difference between the clearing price for Limited Demand Resources and the clearing price for Extended Summer Demand Resources and Annual Resources, representing the cost to procure additional Extended Summer Demand Resources or Annual Resources out of merit order when the Limited Resource Constraint is binding. Modified Following Business Day Convention means that the relevant date shall be postponed to the first following day that is a Business Day unless that day falls in the next calendar month in which case that date will be the first preceding day that is a Business Day;
the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;
