Second Mezzanine Loan Documents definition

Second Mezzanine Loan Documents means the Second Mezzanine Loan Agreement, the Second Mezzanine Notes and all other documents and instruments executed and delivered in connection with the Second Mezzanine Loan, as such documents may be amended, modified and restated in accordance with their respective terms.
Second Mezzanine Loan Documents shall have the meaning ascribed to the termLoan Documents” in the Second Mezzanine Loan Agreement.
Second Mezzanine Loan Documents has the meaning set forth in the Recitals hereto.

  • Borrowers acknowledge that the obligation to comply with this covenant is separate from, and may be enforced independently from, the obligations of Second Mezzanine Borrowers under the Second Mezzanine Loan Documents.

  • So long as no Event of Default shall have occurred and be continuing under the Second Mezzanine Loan Documents, subject to the cure rights of the Junior Lenders hereunder, all funds held and applied pursuant to the Second Mezzanine Cash Management Agreement and Second Mezzanine Loan Agreement, shall continue to be applied in the manner required thereunder prior to the occurrence of an Event of Default under the Second Mezzanine Loan Documents.

  • Upon payment in full of the Debt (including, without limitation, the Exit Fee), Lender’s sole obligation under this Section 2.4.4 shall be to disburse any remaining funds described herein and held by Lender to Second Mezzanine Lender for application in accordance with the terms of the Second Mezzanine Loan Documents.

  • Except for the specific modification set forth above, nothing herein shall be deemed to be a consent to or waiver or amendment of any covenant or agreement contained in the Loan Agreement or any Second Mezzanine Loan Document, and all covenants and agreements contained in the Loan Agreement and the other Second Mezzanine Loan Documents, as modified hereby, are hereby confirmed and ratified in all respects and shall remain in full force and effect in accordance with their respective terms.

  • Second Mezzanine Lender has not given notice to Second Mezzanine Borrower of any default or Event of Default under the Second Mezzanine Loan Documents that has not been cured.

  • The accuracy or inaccuracy of the representations and warranties made by any Guarantor herein or by any Loan Party in any of the Loan Documents and/or the Mortgage Loan Documents and/or the First Mezzanine Loan Documents and/or the Second Mezzanine Loan Documents, as applicable.

  • Any references in the Original Guaranties to (a) the Mortgage Loan Documents shall mean such mortgage loan document(s) as modified by the Mortgage Loan Document Modification, (b) the First Mezzanine Loan Documents shall mean such first mezzanine loan document(s) as modified by the First Mezzanine Loan Document Modification and (c) the Second Mezzanine Loan Documents shall mean such second mezzanine loan document(s) as modified by the Second Mezzanine Loan Document Modification.

  • Mezzanine Loan Documents means all documents or instruments evidencing, securing or guaranteeing the Mezzanine Loan, including without limitation, the Mezzanine Loan Agreement.

  • Mezzanine Loan Agreement means that certain Mezzanine Loan Agreement, dated as of the date hereof, between Mezzanine Borrower and Mezzanine Lender, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Credit Agreement.

  • Original Loan Documents means the "Loan Documents" as defined in the Original Credit Agreement.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Mezzanine Loans means, collectively, the Loan, the Second Mezzanine Loan, the Third Mezzanine Loan, the Fourth Mezzanine Loan, the Fifth Mezzanine Loan, the Sixth Mezzanine Loan, the Seventh Mezzanine Loan, the Eighth Mezzanine Loan, the Ninth Mezzanine Loan and any New Mezzanine Loan.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Mezzanine Loan means a mezzanine loan secured by equity interests in the Mortgage Loan Borrower.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Revolving Loan Documents means the “Loan Documents” as defined in the Revolving Credit Agreement.

  • Mezzanine Lender shall have the meaning set forth in the first paragraph of this Agreement.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Existing Loan Agreement has the meaning set forth in the recitals to this Agreement.

  • Financing Documents means, collectively, this Agreement, the Note, the Security Documents, the Account Control Agreement and any other agreements, documents or certificates delivered pursuant hereto or thereto.

  • Existing Credit Documents means (a) the Existing Credit Agreement, (b) the promissory notes made by Borrower thereunder, and (c) all deeds of trust, mortgages, security agreements, and other documents, instruments or agreements executed and delivered in connection therewith by any Restricted Person, or any predecessor in interest to any Restricted Person.
