Sector Voting Share definition

Sector Voting Share means:
Sector Voting Share for each active Sector, is the quotient obtained by dividing one hundred percent ------------------- (100%) by the number of active Sectors. For example, if there are five active Sectors, the Sector Voting Share of each of the Sectors is twenty percent (20%). The aggregate Sector Voting Shares shall equal one hundred percent (100%).

References in this Agreement to a percentage or portion of the outstanding Voting Shares shall be deemed a reference to the percentage or portion of the total votes entitled to be cast by the holders of the outstanding Voting Shares.

  • Non-Voting Common Stock means the Non-Voting Common Stock, par value $0.01 per share, of the Company.

  • Voting Share Capital means the total voting equity share capital of the Target Company on a fully diluted basis as of the tenth (10th) working day from the closure of the Tendering Period (as defined below) of the Open Offer; and

  • Subordinate Voting Shares means the subordinate voting shares in the capital of the Corporation;

  • Special Voting Unit means a special voting unit of the REIT;

  • Voting Units means collectively the Units and Special Voting Units.

  • Disinterested Shareholder Approval means approval by a majority of the votes cast by all the Company’s shareholders at a duly constituted shareholders’ meeting, excluding votes attached to Common Shares beneficially owned by Insiders who are Service Providers or their Associates;

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Fully Diluted Shares means the sum of (1) the number of shares of Company Common Stock issued and outstanding immediately prior to the Effective Time, plus (2) the number of shares of Company Common Stock issuable upon conversion of shares of Company Preferred Stock issued and outstanding immediately prior to the Effective Time, plus (3) the number of shares of Company Common Stock issuable upon exercise of all In-the-Money Company Options (whether or not vested) outstanding immediately prior to the Effective Time.

  • Voting Stock of any Person as of any date means the Capital Stock of such Person that is at the time entitled to vote in the election of the Board of Directors of such Person.
