SecureWorks Group means SecureWorks Corp. and each other legal entity (including without limitation, any corporation, partnership, limited liability company, association, trust and any other legal form of organization) of which SecureWorks Corp. is the beneficial owner of voting interests representing fifty percent (50%) or more in voting power of the outstanding voting interests in such entity.

Examples of SecureWorks Group in a sentence

  • From and after the effective date of the New SIP, the SecureWorks Group shall retain, pay, perform, fulfill and discharge all Liabilities arising out of or relating to awards under the New SIP.

  • Except as otherwise provided in any other provision of this Agreement, to the extent required by Law, SecureWorks shall recognize the service of each SecureWorks Group Employee with any member of the Dell Group prior to the Effective Date for purposes of eligibility and vesting under the SecureWorks Plans, to the same extent such service would be credited if it had been performed for a member of the SecureWorks Group.

  • Any employee benefit plans, programs and policies of the Dell Group and the SecureWorks Group not specifically addressed in this Agreement will not be impacted by the IPO.

  • From time to time and as agreed to in writing by Dell and SecureWorks, certain SecureWorks Group Employees, including Non-U.S. SecureWorks Transferred Employees, may be employed by Dell in certain non-U.S. jurisdictions in which there is not a SecureWorks legal entity (the “Assigned Employees”) for an agreed period (the “Assignment Period”).

  • If Dell determines to make such transfer, SecureWorks or the applicable member of the SecureWorks Group shall cause the SecureWorks DC Plan to accept such transfer of accounts and the Liabilities and assets associated with such accounts.

  • Furthermore, unless expressly provided for in this Agreement or the Shared Services Agreement or required by applicable Law, no provision in this Agreement shall be construed to create any right to accelerate vesting or entitlements to any compensation or benefit plan on the part of any Employee of the Dell Group or the SecureWorks Group.

  • The Parties agree to cooperate in determining the allocation of Liability between the Dell Group and the SecureWorks Group for Welfare Plan benefits provided to Non-U.S. SecureWorks Transferred Employees before, on and after the Effective Date, consistent to the extent reasonably possible with the principles and procedures set forth in this Agreement for comparable matters and in compliance with Dell policies and the requirements of applicable Law.

  • To the extent that there is any delay in transferring the employment of any Non-U.S. SecureWorks Transferred Employees, such Employees will be provided to the SecureWorks Group during such period on a secondment basis (such period, the “Secondment Period”).

  • Nothing in this Agreement shall create any obligation on the part of any member of the Dell Group or the SecureWorks Group to (i) continue the employment of any Employee following the Signing Date (except as required by applicable Law) or (ii) change the employment status of any Employee from “at will,” to the extent such Employee is an “at will” employee under applicable Law.

  • The Parties acknowledge and agree that the transfer or continuation of the employment of Employees with the Dell Group or the SecureWorks Group as contemplated by this Agreement (including, without limitation, Section 3.03(d)) shall not be deemed a severance of employment or separation from service of any such Employee for purposes of this Agreement, any Plan, Code Section 409A or any other purpose.

  • Supplier Group means the Supplier, its Affiliated Companies, its subcontractors and its and their respective employees, officers, directors, representatives, agents and invitees.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Customer Group means Customer and any of its Affiliates established and/or doing business in the EEA, or United Kingdom;

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Minority Group means any of the following racial or ethnic groups:

  • SpinCo shall have the meaning set forth in the Preamble.

  • Retained Group means, in respect of each Seller, that Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (excluding the Purchaser, that Seller’s Target Company and any subsidiaries or subsidiary undertakings of that Target Company);

  • Parent Group has the meaning set forth in Section 8.03(c).

  • GVWR means gross vehicle weight rating.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • MINORITY BUSINESS ENTERPRISE (MBE means an individual, partnership, corporation or joint venture of any kind that is owned and controlled by U. S. Citizens and residents of Ohio, who are and have held themselves out as members of the following socially and economically disadvantaged groups: Blacks, American Indians, Hispanics and Asians. Only businesses certified by the State of Ohio Equal Opportunity Division in accordance with Section 123.151 of the Ohio Revised Code shall be recognized as being MBE certified within the purpose of this invitation.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Verizon means Verizon Communications Inc., a Delaware corporation.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Comcast means Comcast Corporation, a Pennsylvania corporation.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
