The proceeds of the Loans will be used for (i) working capital, Letters of Credit and Capital Expenditures; (ii) other general corporate purposes of the Loan Parties (including intercompany loans to the extent permitted by this Agreement); (iii) for the refinancing in full of the Indebtedness outstanding under the Receivables Securitization Programs; (iv) payment of any related transaction costs, fees and expenses; and (v) the costs of administration of the Cases.
The Administrative Agent shall have received the most recent reports prepared by the Loan Parties in respect of the Receivables Securitization Programs satisfactory in form and substance to the Administrative Agent in its exclusive discretion.
