Security Guarantees definition

Security Guarantees means, in connection with any series of Securities issued hereunder, any guarantee by each Security Guarantor of such series of the Company's payment obligations under this Indenture and on any Security of such series, executed pursuant to the provisions of this Indenture.

  • The waiver and release are part of the consideration for issuance of the Securities and the Security Guarantees.

  • The waiver and release shall be part of the consideration for the issue of the Securities and the Security Guarantees.

  • The Trustee makes no representations as to the validity or sufficiency of this Indenture, any Security Guarantee or of the Securities, except that the Trustee represents that it is duly authorized to execute and deliver this Indenture and the Security Guarantees, authenticate the Securities and perform its obligations hereunder.

  • No director, officer, employee, incorporator or stockholder of the Company or any Security Guarantor, as such, will have any liability for any obligations of the Company or the Security Guarantors under the Securities, this Indenture, the Security Guarantees, or for any claim based on, in respect of, or by reason of, such obligations or their creation.

  • If pursuant to Section 2.03 provision is made for the applicability of either Security Guarantees with respect to the Securities of a series under this Article XI, then the provisions of this Article XI, together with the other provisions of the Securities of such series, shall be applicable to the Securities of such series, as such provisions may be modified by any supplemental indenture in respect of such series of Securities.

Related to Security Guarantees

  • Security Guarantee means any guarantee of the obligations of the Company under this Indenture and the Securities by any Restricted Subsidiary in accordance with the provisions of this Indenture.

  • security guard means an employee defined as a “guard” or a “security guard” in terms of the Basic Conditions of Employment Act, 1983;
