At the time an Award is granted, the Committee in its sole discretion may grant the Participant an election to pay all or part of such tax withholding by electing to transfer to RNET, or to have RNET withhold from Shares otherwise issuable to the Participant, Shares having a Fair Market Value on the date of withholding equal to the amount required to be withheld or such lesser amount as may be elected by the Participant.
