Xxxxxx Trust. (a) The parties acknowledge, that pursuant to the Prior Agreement, upon the earlier to occur of (i) a Change in Control (as defined in the Prior Agreement) or (ii) a declaration by the Board of Directors of Xxxxxx that a Change in Control (as defined in the Prior Agreement) was imminent, Xxxxxx was to transfer certain sums to cover payments to be made to the Executive relating to the Prior Agreement into a trust (the “Trust”).
(b) Any payments of compensation, pension, severance or other benefits from the Trust shall, to the extent thereof, discharge the Company’s obligation to pay compensation, pension, severance and other benefits hereunder, it being the intent of the Company that assets in such Trust be held as security for the Company’s obligation to pay compensation, pension, severance and other benefits under this Agreement.

Xxxxxx Trust. In this case (provided) the Supreme Court of North Dakota upheld a lower court decision that a dispute regarding the disposition of family farm was properly approved under North Dakota’s Uniform Probate Code section 3‐1101 and sections 3‐1102 (note that the MUPC has similar provisions). The parties whose interests were adversely affected consented to the settlement agreement. The North Dakota statute provides, in part, that a court may approve a compromises that alter or terminate trusts under family settlement agreements if the court is convinced the litigation is undertaken on reasonable grounds and good faith. Absent the compromise, the residue of Xxxxxxx Xxxxxx’x estate, which included the family farm, would have been added to a trust. The corporate trustee of the trust argued that the agreement was improper as the applicable statute is the non‐judicial settlement agreement provisions of North Dakota’s Uniform Trust Code. In applying the NJSA section, the court should have rejected the agreement because it changed the beneficiary of nearly half of the residue of the estate. The trustee argued this violated a material purpose of Xxxxxxx Xxxxxx. The lower court rejected the trustee’s argument. The Trustee appealed and the Court upheld the lower court’s decision.
