Seller Transferred Employee definition

Seller Transferred Employee means all individuals employed by Seller and its Affiliates who would have been within the definition of Employee but have ceased to be Employees and become employed by Seller and its Affiliates in a capacity that is not as an Employee.
Seller Transferred Employee has the meaning set forth in Section 5.8(a).

Examples of Seller Transferred Employee in a sentence

  • For a period of 24 months following the Closing Date, without the prior written consent of Seller, Buyer shall not, and shall cause its Affiliates not to, whether directly or indirectly, solicit for employment, employ or contract for the services of any Seller Transferred Employee who is employed by Seller or any of its Affiliates as of, or immediately following, the Closing.

  • Buyer shall reimburse Seller for all payments to any Seller Transferred Employees terminated prior to the Closing pursuant to the terms of the applicable agreement listed on Schedule 5.12(a) of the Buyer Disclosure Schedule in effect for such Seller Transferred Employee in accordance with the foregoing provisions of this Section 5.12(a).

  • Effective upon the Bring-Down Date, Seller hereby waives, for the benefit of Purchaser and its Affiliates, any and all restrictions in any Employee Benefit Plan or Contract relating to (i) non-competition with Seller or (ii) maintenance of confidentiality of any information for the benefit of Seller, in each case, with or covering any Seller Transferred Employee.

  • The notice period applicable to each Seller Transferred Employee shall be the period specified in each such Seller Transferred Employee’s employment agreement.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Employee Transfer Date means in respect of any particular Transferring Employee the date on which the part of the Services to which they are assigned transfers from the Previous Contractor to the Contractor;

  • Seller Benefit Plans has the meaning set forth in Section 4.8(a).

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Excluded Employee means an employee as defined in section 3527, subd. (b) of the Government Code (Ralph C. Dills Act) except those excluded employees who are designated managerial pursuant to section 18801.1 of the Government Code.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.
