Senior Term Debt definition

Senior Term Debt means term loans under the Credit Agreement and/or any successor facility or facilities.
Senior Term Debt means all Indebtedness represented by the 1998 Fixed Rate Senior Notes, the 2000 Senior Fixed Rate Notes and any Permitted Refinancing Indebtedness in respect thereof and (without duplication) all premiums, expenses, fees, reimbursements, indemnities and other amounts owing by the Company in respect of such 1998 Fixed Rate Senior Notes, the 2000 Senior Fixed Rate Notes and Permitted Refinancing Indebtedness. A distribution may consist of cash, securities or other property, by set-off or otherwise.
Senior Term Debt means Indebtedness outstanding under Facility B (as defined in the Senior Facilities Agreement) and/or under any Incremental Term Facility (as defined in the Senior Facilities Agreement).

Examples of Senior Term Debt in a sentence

  • To the extent that such Net Proceeds exceed the amounts required to permanently reduce Senior Term Debt and Senior Revolving Debt, such excess Net Proceeds shall be deemed to constitute "Excess Proceeds" (as defined in Subsection 4.10(c) hereof) and shall be applied in accordance with the procedures set forth in Subsection 4.10(c) below.

  • Subject to the Intercreditor Agreement and clause (c) below, any such Net Proceeds of insurance or condemnation awards that relate to Term Priority Collateral, to the extent not timely applied to repair, restore or replace such property or asset in accordance with the Senior Term Loan Documents and/or the Term Loan Documents, shall be applied first to the Senior Term Debt and/or the Term Loan Debt until paid in full, then to U.S. Revolver Loans until paid in full and then to other Obligations.

Senior Term Debt means term loans outstanding from time to time under the New Credit Facility.

Senior Term Debt means the Indebtedness of the Company and the Subsidiary Guarantors pursuant to one or more senior term facilities under the Senior Credit Agreement.
Senior Term Debt means the Indebtedness of the Company pursuant to a senior term facilities under the Senior Credit Agreement.
