Series A-1 Issue Price definition

Series A-1 Issue Price has the meaning set forth in the Amended M&AA.
Series A-1 Issue Price means US$0.02347, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares.
Series A-1 Issue Price means US$0.0015 (which is converted from RMB0.0104 at a rate of RMB6.8716 to US$1.00, the mid-point exchange rate released by the People’s Bank of China on July 1, 2019), as adjusted pursuant to the Memorandum and Articles for share splits, share dividends, combinations, Recapitalizations and similar events with respect to the Series A-1 Preferred Shares.

Examples of Series A-1 Issue Price in a sentence

  • The conversion rate for the Series A1 Shares shall be determined by dividing the Series A1 Issue Price for each of the Series A1 Shares by its conversion price provided that in the event of any share splits, share combinations, share dividends, recapitalisations and similar events, the initial Series A1 Conversion Price shall be adjusted accordingly.

  • The initial Series A1 Conversion Price for each of the Series A1 Shares shall be its Series A1 Issue Price.

  • The conversion rate for the Series A-1 Shares shall be determined by dividing the Series A-1 Issue Price for each of the Series A-1 Shares by its conversion price applicable to such Series A-1 Share (the “Series A-1 Conversion Price”), determined as hereafter provided, in effect on the date the certificates is surrendered for conversion.

Series A-1 Issue Price means US$0.88235 per Series A-1 Share, as adjusted.
Series A-1 Issue Price means, in respect of any holder of Series A-1 Preferred Shares other than JD, US$0.63656 per Series A-1 Preferred Share, or, in respect of JD, US$0.31828 per Series A-1 Preferred Share, as appropriately adjusted for any share dividend, share split, combination of shares, reorganization, recapitalization, reclassification or other similar event affecting the Series A-1 Preferred Shares.
