Series A-1 Issue Price definition

Series A-1 Issue Price has the meaning set forth in the Amended M&AA.
Series A-1 Issue Price means US$0.21931, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares.
Series A-1 Issue Price means US$0.0015 (which is converted from RMB0.0104 at a rate of RMB6.8716 to US$1.00, the mid-point exchange rate released by the People’s Bank of China on July 1, 2019), as adjusted pursuant to the Memorandum and Articles for share splits, share dividends, combinations, Recapitalizations and similar events with respect to the Series A-1 Preferred Shares.

  • The initial “Conversion Price” per share for shares of (i) Series A Preferred Stock shall be the Original Series A Issue Price, (ii) Series A-1 Preferred Stock shall be the Original Series A-1 Issue Price and (iii) Series A-2 Preferred Stock shall be the Original Series A-2 Issue Price; provided, however, that the Conversion Price for the Series A Preferred Stock, Series A-1 Preferred Stock and Series A-2 Preferred Stock shall be subject to adjustment as set forth in Article IV.C.4(d).

Series A-1 Issue Price means, in respect of any holder of Series A-1 Preferred Shares other than JD, US$0.63656 per Series A-1 Preferred Share, or, in respect of JD, US$0.31828 per Series A-1 Preferred Share, as appropriately adjusted for any share dividend, share split, combination of shares, reorganization, recapitalization, reclassification or other similar event affecting the Series A-1 Preferred Shares.
Series A-1 Issue Price means, in the case of a holder of Series A-1 Preferred Shares other than VKC, US$0.152602; in the case of VKC, US$0.173458, each as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares and with respect to Series A-1 Preferred Shares held by GS, Carlyle and Cathay, subject to the adjustments stipulated in Section 2.6 of the Purchase Agreement.
Series A-1 Issue Price means US$0.88235 per Series A-1 Share, as adjusted.
Series A-1 Issue Price means the issue price per Series A-1 Preferred Share on the A-1 Initial Issuance Date, being CAD$1.00 subject to adjustment from time to time to reflect any subdivisions, consolidations or similar events of the Series A-1 Preferred Shares after the A-1 Initial Issuance Date, and the Series A-1 Issue Price shall simultaneously be adjusted upon the happening of each such event by multiplying the Series A-1 Issue Price in effect immediately prior to such event by the following fraction:
Series A-1 Issue Price means US$0.08204199, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares after the date hereof.
Series A-1 Issue Price means the Exercise Price (as defined in the Series A Warrant) per share, which shall be US$0.01175 per share, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares.
Series A-1 Issue Price means US$ 0.2613 per share, as appropriately adjusted for share splits, share dividends, combinations, recapitalizations and similar events with respect to the Series A-1 Preferred Shares.
