Series A-2 Preference Amount definition

Series A-2 Preference Amount means, with respect to each share of Company Series A-2 Preferred Stock outstanding immediately prior to the Effective Time, the Liquidation Preference.
Series A-2 Preference Amount has the meaning set forth in Section 10.1(iii) hereof.
Series A-2 Preference Amount means, with respect to each share of Series A-2 Preferred Stock outstanding immediately prior to the Effective Time, an amount equal to $1.00.

  • If the Company has insufficient assets to permit payment of the Series A-2 Preference Amount in full to all holders of Series A-2 Preferred Shares, then the assets of the Company shall be distributed ratably to the holders of the Series A-2 Preferred Shares in proportion to the full Series A-2 Preference Amount each such holder of Series A-2 Preferred Shares would otherwise be entitled to receive under this Section 2(a).

Related to Series A-2 Preference Amount

  • Preference Amount means any amount previously distributed to an Owner on the Obligations that is recoverable and sought to be recovered as a voidable preference by a trustee in bankruptcy pursuant to the United States Bankruptcy Code (11 U.S.C.), as amended from time to time, in accordance with a final nonappealable order of a court having competent jurisdiction.

  • Liquidation Preference Amount means $25,000 per share of Series A Preferred Stock.

  • Series A-2 Preferred Stock means shares of the Company’s Series A-2 Preferred Stock, par value $0.001 per share.

  • Series A Liquidation Preference means a liquidation preference for each Series A Preferred Unit initially equal to $25.00 per unit, which liquidation preference shall be subject to increase by the per Series A Preferred Unit amount of any accumulated and unpaid Series A Distributions (whether or not such distributions shall have been declared).

  • Series A Preferred Unit means a Preferred Unit having the designations, preferences, rights, powers and duties set forth in Article XVI.
