Series A Designee definition

Series A Designee means any individual designated by the Holder for election to the Board of Directors, which individual is, at the time such individual is first designated, reasonably acceptable to the Board of Directors.

Series A Designee means Xxxxxxxx X. Xxxxxx, III and Xxxxxxx X. Xxxxxxxxx and any Director thereafter appointed to the Board of Directors or elected by the holders of the Series A Preferred Stock, voting as a separate class, pursuant to the Certificate of Designations of the Series A Preferred Stock.

Series A Designee shall be chosen by ARCH Venture Fund II, L.P. or its Affiliates (collectively, “ARCH”, and such director, the “ARCH Designee).

• Sanditen to the other Series A Designee seat, by written consents signed by Gorman and four other stockholders.24 Two days later, the purported new directors (Gorman, Sanditen, Woodby, and Williamson) attempted to call a board meeting for August 26, 2013.

Series A Designee has the meaning assigned to it in the Certificate of Designations.

Series A Designee shall be chosen by NGP for so long as NGP holds not less than twenty percent (20%) of the shares of Series A Preferred and/or Common Stock issued upon conversion thereof originally issued to NGP (as adjusted for stock splits, stock dividends, recapitalizations and the like). It is understood that for so long as NGP shall be entitled to such nominee on the Board pursuant to this Section 5.3(b)(i), then such Series A Designee shall be elected as the Series A Director. (together, “USV”) for so long as USV and its Affiliates continue to own beneficially at least 1,000,000 shares of Common Stock (on an as-converted basis and which number is subject to appropriate adjustment for all stock splits, dividends, combinations, recapitalizations and the like).

Series A Designee has the meaning set forth in Section 2.1(a) of this Agreement.
