Series A Exchange Ratio definition

Series A Exchange Ratio means the sum of (a) the Common Exchange Ratio and (b) the quotient obtained by dividing (i) the Series A Preferred Dividend by (ii) the Closing Date Share Value.
Series A Exchange Ratio shall have the meaning specified in Section 3.01(b).
Series A Exchange Ratio means the result obtained by dividing (i) the product of (A) the Series A Preference Percentage multiplied by (B) the Preferred Merger Shares, by (ii) the total number of shares of Series A Preferred Stock outstanding immediately prior to the Effective Time.
