Series B Certificate definition

Series B Certificate means the Certificate of Designations of Series B Convertible Preferred Stock forming a part of the Certificate of Incorporation of the Company, as amended from time to time in accordance with the terms thereof.

Series B Certificate means that Certificate of Designations, Preferences and Rights of Series B Participating Convertible Preferred Stock of the Corporation in the form contemplated by the Purchase Agreement.

Series B Certificate means the Certificate of Designation of Powers, Preferences and Rights of the Series B Preferred Stock.

• Except as expressly set forth above, nothing in this Letter Agreement shall be construed as a waiver of any rights of any of the parties to this Letter Agreement under the Series B Certificate of Designations.

• Except as otherwise provided herein, the Series B Certificate of Designations shall remain unchanged and in full force and effect.

Series B Certificate means the Certificate of Designations of the Series B Convertible Preferred Stock filed by the Corporation with the Secretary of State of the State of Delaware on the date hereof, as amended from time to time.
