Series B Certificate definition

Series B Certificate means the Certificate of Designations of Series B Voting Preferred Stock relating to the Series B, as it may be amended from time to time.

Series B Certificate means that Certificate of Designations, Preferences and Rights of Series B Participating Convertible Preferred Stock of the Corporation in the form contemplated by the Purchase Agreement.

Series B Certificate means that certain Certificate of Designations of Series B Preferred Stock of the Company dated as of the Original Issuance Date.

Examples of Series B Certificate in a sentence

• Except as otherwise provided herein, the Series B Certificate of Designations shall remain unchanged and in full force and effect.

• Except as expressly set forth above, nothing in this Letter Agreement shall be construed as a waiver of any rights of any of the parties to this Letter Agreement under the Series B Certificate of Designations.

• By executing this Letter Agreement, the Company acknowledges and agrees that, except as expressly provided herein, (a) the Holders’ rights under the Series B Certificate of Designations have not been waived by the Holders, and (b) no Holder has made and is not making any commitment, and there is no understanding, explicit or implicit, relating to, or affecting, any forbearance or any other matter beyond that set forth in this Letter Agreement.

More Definitions of Series B Certificate

Series B Certificate means the Certificate of Designations of the Series B Convertible Preferred Stock filed by the Corporation with the Secretary of State of the State of Delaware on April 23, 2013, as amended from time to time.

Series B Certificate means the Corporation’s Certificate of Designation of Preferences, Rights and Limitations of Series B 10% Convertible Preferred Stock of the Corporation, filed with the Secretary of State of the State of Delaware on November 25, 2014, as amended from time to time.
