Series B Investor definition

Series B Investor means any Investor who at the time holds shares of Series B Preferred Stock or Common Stock issued upon conversion thereof.

Series B Investor has the meaning set forth in the Preamble.

Series B Investor has the meaning ascribed to it in the Series A and Series B Share Subscription Agreement.

Examples of Series B Investor in a sentence

• If any Series B Investor elects to acquire less than such Investor’s pro rata portion of the available Securities, the other Series B Investors may acquire a pro rata portion of the balance of the remaining Securities, which is equal to the proportion that such other Series B Investor’s Series B Proportionate Percentage bears to the Series B Proportionate Percentage of all such other Series B Investors who wish to acquire any of the balance of the remaining Securities.

• Each Series B Investor shall have the right to purchase that percentage of the Offered Stock determined by dividing (A) the total number of shares of Investor Stock then owned by such Series B Investor by (B) the total number of shares of Investor Stock then owned by all Series B Investors (in each case, calculated on an as converted to Common Stock basis).

• Each such Additional Series B Investor, upon execution and delivery of this Agreement by the Company and such Additional Series B Investor, shall be deemed an Investor hereunder.

• Each Major Investor, each Series B Investor and each Warrantholder (each, a "Right of First Refusal Investor") shall have a right of first refusal to purchase its pro rata share of all Equity Securities, as defined below, that the Company may, from time to time, propose to sell and issue after the date of this Agreement, other than the Equity Securities excluded by Section 4.7 hereof.

• Upon the sale of Additional Series B Shares to Additional Series B Investors in accordance with the Series B Purchase Agreement, the Company, without prior action on the part of any Investor, shall require each Additional Series B Investor to execute and deliver this Agreement.

More Definitions of Series B Investor

Series B Investor means each person whose name and address is set out in Part 2 of Schedule 1 and any other holder of Series B Shares from time to time who becomes a party to this Agreement by signing a Deed of Adherence in accordance with clauses 9.2 and 9.3;

Series B Investor means any one of them, provided that if any of the above-mentioned parties ceases to be a party to this Agreement without such successor or permitted assignee, then “Series B Investors” means the remaining parties or party alone and “Series B Investor” means any one of them;

Series B Investor means a Person that holds any Series B Preferred Shares as at the date hereof, and its respective permitted assignees, transferees and successors.

Series B Investor means IBM WTC Asia Investments LLC, a limited liability company organized under the laws of Delaware, and Lehman Brothers Offshore Partners Ltd., a limited liability company organized under the laws of Bermuda
