The Series B Liquidation Preference Amount shall be paid to the holders of Series B Preferred Stock in cash and the holders of Series B Preferred Stock shall not be entitled to any further payments in the event of any Liquidation Event other than what is expressly provided for in this Section 5.
Notwithstanding the foregoing, in no event shall the Series B Liquidation Preference Amount be a negative amount as a result of Special Distributions.
If upon a Liquidation, the assets shall be insufficient to pay the holders of the Series B Preferred Stock the full Series B Liquidation Preference Amount, the holders of the Series B Preferred Stock shall share ratably in any distribution of assets according to the respective amounts which would be payable in respect of the shares held by them upon such distribution if all amounts payable on or with respect to said shares were paid in full.

The Corporation may, at any time prior to February 1, 2008 redeem each share of Series B Preferred Stock then outstanding for a cash price equal to the sum of (i) the Series B Liquidation Preference Amount as of the date of redemption, plus (ii) an amount equal to all Series B Cumulative Dividends (whether or not earned or declared) on such shares of the Series B Preferred Stock to February 1, 2008.
