Series Trust Assets definition

Series Trust Assets means, with respect to Series 2010-1, all of the Issuer’s rights, title and interests in, to and under the Series Receivables, all Related Property relating thereto, all Collections thereof and all products and proceeds thereof, accessions thereto and substitutions therefor. Without limiting the foregoing in any way, the Series Trust Assets for Series 2010-1 shall include all of the Issuer’s rights, title, interests, remedies, powers and privileges in and under the following:
Series Trust Assets shall have the meaning specified in the Supplement.
Series Trust Assets means, with respect to Series 1997-1, all of the Series Receivables, all Related Property relating thereto, all Collections thereof and all products and proceeds thereof (excluding only Class A Certificates or Class B Certificates), accessions thereto and substitutions therefor. Without limiting the foregoing in any way, the Series Trust Assets for Series 1997-1 shall include all of the Seller's rights, title, interests, remedies, powers and privileges in and under the following:

Examples of Series Trust Assets in a sentence

  • All funds received from the foreclosure upon and/or sale of the Series Trust Assets in accordance with either clause (i) or (ii) of Section 9.02(b) of the Agreement shall be applied in accordance with Section 6.03(a) of this Supplement.

  • The Trustee hereby acknowledges its acceptance on behalf of the Secured Parties of a security interest in and against all of the Issuer’s rights, title and interests in and to the Series Receivables and the Series Trust Assets, now existing and hereafter created and declares that it shall maintain such security interest, for the benefit of such Secured Parties.

  • The amounts to be withdrawn from the Series Collection Account and transferred to the Series Payment Account on the Business Day before each Payment Date pursuant to clause (i)(A) of the preceding sentence and the Monthly Report, will be equal to the amount of all Collections in respect of Series Trust Assets received during the prior Collection Period.

  • The Master Servicer shall not indicate in its records that the Issuer has granted to the Trustee, for the benefit of the Series 2010-1 Noteholders of the Series secured thereby, a security interest in the Series Receivables and other Series Trust Assets, for which it acts in such capacity pursuant to this Agreement and the Supplement.

  • Each Master Servicer shall indicate in its records that the Series Receivables and other Series Trust Assets for the Series for which it acts in such capacity have been Transferred to the Trustee, on behalf of the Trust, pursuant to this Agreement and each applicable Supplement for the benefit of the Certificateholders of the applicable Series secured thereby.

Related to Series Trust Assets

  • Trust Assets means, with respect to the Appointments and to the extent held, deposited or invested by any Seller for the benefit of others (whether or not constituting all or a portion of the corpus of any trust) as collateral, trust assets or otherwise by the applicable Corporate Trust Contracts or any other applicable legal obligation, (a) all cash on hand or held in bank accounts (including the Deposits) or in money market funds, and (b) all shares, stock, bonds, debentures, notes, mortgages, guarantees, letters of credit, certificates of indebtedness, warrants, treasuries or other securities or financial instruments or property of any type or description.

  • Series Trust means the trust known as the Series 2000-2G Medallion Trust established pursuant to the Master Trust Deed and the Series Supplement.

  • Liquidating Trust Assets means the assets of a Debtor or Debtor-Controlled Entity to be transferred to a Liquidating Trust as may be determined by the Plan Administrator, which shall be described in a Liquidating Trust Agreement.

  • Lead Securitization Trust means the Securitization Trust created in connection with the Lead Securitization.

  • Non-Lead Securitization Trust means the Securitization Trust into which any Non-Lead Securitization Note is deposited.

  • Liquidation Trust Agreement means the Liquidation Trust Agreement to be dated as of the Effective Date establishing the terms and conditions of the Liquidation Trust, substantially in the form attached hereto as Exhibit B.

  • the Trust Fund means the Bond(s) referred to in the First Schedule to the Declaration of Trust and the property from time to time representing the same (and also includes any other property which may become Trust Property as a result of any loan to the Trustees or any addition by way of gift or any accumulation of income).

  • Indenture Trust Estate means all money, instruments, rights and other property that are subject or intended to be subject to the lien and security interest of the Indenture for the benefit of the Noteholders (including all Collateral Granted to the Indenture Trustee), including all proceeds thereof.

  • Owner Trust Estate means all right, title and interest of the Trust in and to the property and rights assigned to the Trust pursuant to Article II of the Sale and Servicing Agreement, all funds on deposit from time to time in the Trust Accounts and all other property of the Trust from time to time, including any rights of the Trust pursuant to the Sale and Servicing Agreement.

  • Liquidation Trust means the trust created pursuant to the Liquidation Trust Agreement on the Effective Date in accordance with the Plan, the Confirmation Order and the Liquidation Trust Agreement.

  • Securitization Trust means a trust formed pursuant to a Securitization.

  • Note A-1 Trust Fund means the trust formed pursuant to the Note A-1 PSA.

  • Delaware Trust Assets Purchaser means the Computershare Delaware Trust Company.

  • Master Trust Agreement means the Second Amended and Restated Trust Agreement, dated as of May 8, 2019, between Verizon ABS II LLC, as depositor, and the Master Trust Owner Trustee, as amended, restated, supplemented or modified from time to time.

  • Liquidating Trust Agreement means an agreement evidencing the terms and provisions governing a Liquidating Trust that shall be entered into prior to the establishment of such Liquidating Trust and pursuant to which a Liquidating Trustee shall manage and administer Liquidating Trust Assets.

  • Master Trust Trustee means the entity acting as trustee under the applicable Pooling and Servicing Agreement.

  • Note A-4 Trust Fund means the trust formed pursuant to the Note A-4 PSA.

  • Liquidation Trustee means the trustee appointed jointly by the Debtors and the Creditors’ Committee, and identified in the Plan Supplement, to serve as the liquidation trustee under the Liquidation Trust Agreement, or any successor appointed in accordance with the terms of the Plan and Liquidation Trust Agreement.

  • Trust Student Loan means any student loan that is listed on the Schedule of Trust Student Loans on the Closing Date, plus any Additional Loan, plus any Substituted Loan that is permissibly substituted for a Trust Student Loan by the Depositor pursuant to Section 6(B) of the Sale Agreement or pursuant to Section 6(B) of an Additional Sale Agreement, or by the Servicer pursuant to Section 3.5 of the Servicing Agreement, but shall not include any Purchased Loan following receipt by or on behalf of the Trust of the Purchase Amount with respect thereto or any Liquidated Student Loan following receipt by or on behalf of the Trust of Liquidation Proceeds with respect thereto or following such Liquidated Student Loan having otherwise been written off by the Servicer.

  • Property Trustee Account has the meaning set forth in Section 3.8(c).

  • Note A-3 Trust Fund means the trust formed pursuant to the Note A-3 PSA.

  • Class A Trust Agreement Has the meaning specified in the Intercreditor Agreement.

  • Note A-2 Trust Fund means the trust formed pursuant to the Note A-2 PSA.

  • Master Trust means Citibank Credit Card Master Trust I.

  • Lead Securitization Date means the closing date of the Lead Securitization.

  • Lead Securitization PSA means (a) during the period from and after the Note A-2 Securitization Date and prior to the Note A-1 Securitization Date, the Note A-2 PSA and (b) from and after the Note A-1 Securitization Date, the Note A-1 PSA.
