On each Determination Date the Issuing Entity will, in cooperation with the Servicer of the Master Trust and the Servicer under the Transfer and Servicing Agreement, complete and deliver to the Indenture Trustee and the Master Trust Trustee (with a copy to each Note Rating Agency), a Monthly Noteholders’ Statement.
By their acceptance of a Note, the Noteholders will be deemed to have acknowledged that the Transferor, JPMCB and the Master Trust Trustee may amend the applicable Pooling and Servicing Agreement and any supplement thereto without the consent of the Holders of any Investor Certificates (including the Issuing Entity) or any Noteholder, so long as such amendment or supplement would not materially adversely affect the interests of the Holders of any Investor Certificates.
