In the event of any conflict between the terms and provisions of this Agreement and those of any Schedule, Exhibit or Statement of Work, the following order of precedence shall govern: (a) first, this Agreement, exclusive of its Exhibits and Schedules (unless a Statement of Work expressly sets forth otherwise); (b) second, the applicable Statement of Work; and (c) third, any Exhibits and Schedules to this Agreement; and (d) fourth, the Service Provider Proposal.
The Company hereby invites the provision of Services from the Service Provider, and the Service Provider accepts upon himself to provide the Services, pursuant to the documents of the Individual Referral and Service Provider Proposal to the Individual Referral, in an efficient and professional manner to the satisfaction of the Company, this in return for payments that the Company undertakes to pay the Service Provider, all pursuant and subject to that which is stated in the Agreement.

No provisions contained in any Service Provider Proposal shall become part of this Agreement, and all such other terms shall be considered rejected by Customer.
This Software as a Service (SaaS) Agreement, together with a fully executed Service Provider Proposal, Customer Purchase Order, and other agreement documents, collectively referred to as the Agreement Documents sets forth the entire understanding between the Service Provider and Customer.
