Notwithstanding the foregoing, in no event shall any Indemnified Party (i) be indemnified against any Indemnified Amounts to the extent such Indemnified Amounts are or result from Taxes asserted with respect to Taxes on, or measured by, the net income of the applicable Indemnified Party or (ii) indemnified twice for the same Servicer Indemnified Amount by reason of application of the indemnity provided under Section 5.07 of the Purchase Agreement.
