Servicing Contracts definition

Servicing Contracts means (i) with respect to all Xxxxxx Xxx Servicing Rights, the Xxxxxx Xxx Lender Contract, (ii) with respect to all Freddie Mac Servicing Contract Rights, the Freddie Mac Servicing Contract and (iii) any other agreement in any form between the Borrower and any Applicable Agency with respect to the servicing of any Pools regarding the Applicable Agency, in each case as such agreements may be amended, amended and restated, supplemented or otherwise modified from time to time.

Servicing Contracts means, collectively, those servicing agreements described on Schedule 1 attached hereto.

Servicing Contracts has the meaning specified in the Credit Agreement and includes, without limitation, those Servicing Contracts comprising Agency Agreements.

Examples of Servicing Contracts in a sentence

• The Master Servicer shall cause to be established and maintained by each Servicer under the Master Servicer's supervision the Custodial Account for P&I, Buydown Fund Accounts (if any) and special Custodial Account for Reserves and shall deposit or cause to be deposited therein daily the amounts related to the Mortgage Loans required by the Selling and Servicing Contracts to be so deposited.

• The Master Servicer shall cause to be established and maintained by each Servicer under the Master Servicer’s supervision the Custodial Account for P&I, Buydown Fund Accounts (if any) and special Custodial Account for Reserves and shall deposit or cause to be deposited therein daily the amounts related to the Mortgage Loans required by the Selling and Servicing Contracts to be so deposited.

• Acquire or enter into Servicing Contracts under which Borrower must repurchase or indemnify the holder of the Mortgage Loans as a result of defaults on the Mortgage Loans at any time during the term of those Mortgage Loans.

• No default or event that, with notice or lapse of time or both, would become a default, exists under any of Borrower's Servicing Contracts.

• All of the Company's Servicing Contracts are in full force and effect and, except as otherwise indicated, are unencumbered by Liens.

More Definitions of Servicing Contracts

Servicing Contracts shall have the meaning as set forth in Section 3.21(e)(i) of the Agreement.

Servicing Contracts means for the Pledged Servicing Rights and (i) with respect to the Xxxxxx Xxx Servicing Rights, the Mortgage Selling and Servicing Contracts between the Borrower and Xxxxxx Xxx, the applicable Master Agreements between the Borrower and Xxxxxx Xxx, and the applicable Schedules of Mortgages (Form 2005), in each case as such agreements may be amended, amended and restated, supplemented or otherwise modified from time to time, (ii) with respect to solely those Mortgage Loans with Seller/Servicer Numbers 152360, 157360, 157386 and 161173, the Xxxxxxx Xxx Xxxxxxxxx Contract between the Borrower and Freddie Mac, as may be amended and restated, supplemented or otherwise modified from time to time, (iii) with respect to all Xxxxxx Xxx Pools, the Xxxxxx Xxx guaranty agreement between the Borrower and Xxxxxx Xxx and, (iv) with respect to non-agency Mortgage Loans, the related PSA, but solely to the extent the foregoing relates to the Pledged Servicing Rights.

Servicing Contracts means the applicable Xxxxxxx Mac Servicing Contract, in each case as such agreements may be amended, amended and restated, supplemented or otherwise modified from time to time.

Servicing Contracts means those servicing agreements described on Schedule 2 attached hereto, as amended from time to time, to which Lender is a party, pursuant to which Lender acts as the servicer of portfolios of Mortgage Loans or specified Mortgage Loans, and with respect to Servicing Rights, in the case of each Servicing Contract between Borrower and an Agency, subject to an Acknowledgement Agreement with such Agency.

Servicing Contracts means, the Xxxxxx Xxx Contract and any and all instruments, agreements, invoices or other writings, which give rise to or otherwise evidence any of the MSRs. Without limiting the generality of the foregoing, any reference herein to a “Servicing Contract” shall be deemed to include the Acknowledgment Agreement.

Servicing Contracts means, collectively, (i) with respect to all Assets other than Xxxxxx Mae Advances, those servicing agreements described on Schedule 2 attached hereto, as amended from time to time, to which Borrower is a party, pursuant to which Borrower acts as the servicer of portfolios of Mortgage Loans or specified Mortgage Loans, and by which Borrower’s servicing obligations are governed with respect to an Eligible Securitization Transaction and with respect to Servicing Rights, in the case of each Servicing Contract between Borrower and an Agency, subject to an Acknowledgement Agreement with such Agency, and (ii) with respect to Xxxxxx Xxx Advances, the Repurchase Agreement to the extent of the servicing requirements set forth therein, pursuant to which Borrower will service the related Xxxxxx Mae Loans. For all purposes of this Agreement, the term “Servicing Contracts” shall include any and all instruments, agreements, invoices or other writings, which gives rise to or otherwise evidence any of the Receivables or Servicing Rights.

Servicing Contracts means for the Pledged Servicing Rights and (i) with respect to all Xxxxxx Xxx Pools, the Mortgage Selling and Servicing Contracts between the Borrower and Xxxxxx Xxx, the applicable Master Agreements between the Borrower and Xxxxxx Xxx, and the applicable Schedules of Mortgages (Form 2005), in each case as such agreements may be amended, amended and restated, supplemented or otherwise modified from time to time, (ii) with respect to solely those Mortgage Loans with Seller/Servicer Numbers 152360, 157360 and 157386, the Freddie Mac Servicing Contract between the Borrower and Freddie Mac, as may be amended and restated, supplemented or otherwise modified from time to time, (iii) with respect to all Xxxxxx Xxx Pools, the Xxxxxx Xxx guaranty agreement between the Borrower and Xxxxxx Xxx and, (iv) with respect to non-agency Mortgage Loans, the related PSA, but solely to the extent the foregoing relates to the Pledged Servicing Rights.
