Xxxxxxx Mac Servicing Contract means (i) the Purchase Contract (as defined in the Xxxxxxx Mac Guide), including a Purchase Contract confirmation, by and between PMC and Xxxxxxx Mac, (ii) the Xxxxxxx Mac Guide, (iii) any Bulletins (as defined in the Xxxxxxx Mac Guide), (iv) any agreement pursuant to which PMC provides a guaranty or any form of credit enhancement in connection with the sale of mortgage loans to Xxxxxxx Mac, (v) the Servicer Success Scorecard (as defined in the Xxxxxxx May Guide), (vi) any other document designated to be a Purchase Document by Xxxxxxx Mac, (vii) the Guide Plus Additional Provisions (as defined in the Xxxxxxx Mac Guide), as amended from time to time, and (viii) any other additional terms applicable to the sale of mortgage loans, such as written waivers, amendments or supplements to the Xxxxxxx Mac Guide that are made available to PMC by Xxxxxxx Mac through electronic means including sources designated by Xxxxxxx Mac for distribution of the Xxxxxxx Mac Guide.

  • Each Borrower shall do all things necessary to preserve the Collateral so that it remains subject to a first priority perfected security interest hereunder subject to the rights of Xxxxxxx Mac under the Xxxxxxx Mac Servicing Contract and the Xxxxxxx Mac Acknowledgment Agreement.

  • For purposes of clarity, any reference in this Agreement to “Owner’s rights to the Mortgage Loans” or words of similar effect which directly or indirectly imply the Owner has any right or interest in the Xxxxxxx Mac Mortgage Loans shall be construed to be limited in all respects to solely the Owner’s rights as a holder of the Servicing Contract Rights as provided in the Xxxxxxx Mac Servicing Contract, the Xxxxxxx Mac Guide and the other Xxxxxxx Mac Purchase Documents.

  • If Xxxxxxx Mac suspends or disqualifies the Owner as an approved Xxxxxxx Mac Seller/Servicer, or terminates the Xxxxxxx Mac Servicing Contract between Xxxxxxx Mac and the Owner, then notwithstanding any provision in this Agreement to the contrary, with respect to any Xxxxxxx Mac Mortgage Loans, this Agreement shall, without notice, demand or other action, immediately terminate and be of no further force and effect.

  • In accordance with the Xxxxxxx Mac Guide and the Xxxxxxx Mac Servicing Contract, simultaneously with the Owner’s sale of Mortgages to Xxxxxxx Mac, the Xxxxxxx Mac Servicing Contract Rights are established by Xxxxxxx Mac.
