If the matter in dispute is not finally determined under section 39 within 30 days after the delivery of the Set-off Notice, any amount owed by WDCO or Glendale, as the case may be, to you under this Agreement or any other agreement or arrangement with you will be deposited into escrow with a mutually satisfactory escrow agent for disbursal in accordance with the determination pursuant to section 39.
If the Seller Representative does not so notify Purchaser of its intention to dispute Purchaser’s claim prior to the expiration of the Set-off Notice Period or a court of competent jurisdiction shall issue an order providing that Purchaser Indemnitees are entitled to such Losses, Purchaser may affect the Set-off after the expiration of the Set-off Notice Period.
If Sellers dispute the setoff they shall within sixty (60) days of Sellers’ receipt of the Setoff Notice, initiate an arbitration pursuant to Section 9.6 or Sellers will be deemed to have accepted the Setoff Notice.
Purchaser may provide a Setoff Notice in accordance with Section 7.1(b)(i), or seek payment from the Sellers, for any proposed adjustment upon a Final Determination thereof.
If the Seller gives notice to the Buyer disputing any Damages (a “Counter Notice”) within fifteen (15) Business Days following receipt by the Seller of the Setoff Notice, such dispute will be resolved as provided in subsection (iii) below.
If the Company fails to immediately transfer to Purchaser all or any portion of the Purchaser Shares to be forfeited, Purchaser may cancel on the books of Purchaser all or any portion of the Purchaser Shares set forth in the Setoff Notice.
If the parties fail to resolve any such disputes with respect to an indemnifiable Loss and set-off right set forth in an Indemnification Set-off Notice within the Set-off Resolution Period, Parent shall have the right to exercise such set-off and the Shareholder Representative shall have the right to seek remedy in law in accordance with the provisions of this Agreement.
Parent will have ten Business Days from the date of receipt of the Set-off Notice to object in writing to the Claimed Set-off (a “Set-off Dispute Notice”).
If the Seller does not pay the Setoff Amount within 60 days of the receipt of the Setoff Notice, interest shall accrue commencing upon the expiration of the 60 day period and be payable by the Seller to the Purchaser on such amount at the rate of 6.0%.
If the Seller consents to the deduction of the Setoff Amount from the GI Payment Amount or does not object to such deduction in a written notice to the Purchaser within 30 days of the Setoff Notice, the Purchaser shall deduct the Setoff Amount from the GI Payment Amount.
