Share Event definition

Share Event means each of the following events:
Share Event means that the Trustee shall have received an Officers' Certificate which states that the Trust no longer holds the entire pecuniary interest in an amount of Sprint PCS Stock or securities convertible or exercisable therefor, or in Reference Shares received by the trustee of the Trust for such securities, free and clear of any rights or other claims of others, including rights or claims relating to the market value of such securities, that are equal to or greater than the aggregate amount of Reference Shares attributable to all Debentures then outstanding; provided, however, that a Share Event shall not be deemed to have occurred if the Trust no longer holds the prescribed securities by reason of its transfer of such securities to or upon the order of the Company.
Share Event means, in respect of any Share, that a Merger Event, a Tender Offer, any Additional Adjustment Event occurs.

  • If an event may constitute both a Share Event and an Additional Disruption Event, the Calculation Agent shall determine which of these events such event constitutes.

  • The Issuer shall give notice as soon as practicable to Noteholders in accordance with Condition 13 stating the occurrence of the Share Event, giving details thereof and the action proposed to be taken in relation thereto.

  • In case any Common Share Event described in Section 11(a)(ii) hereof shall occur, then, in any such case, the Corporation shall as soon as practicable thereafter give to the Rights Agent and each holder of a Right Certificate in accordance with Section 25 hereof, a notice of the occurrence of such Common Share Event, which shall specify such event and the consequences of the event to holders of Rights under Section 11(a)(ii) hereof.

  • For purposes of this Section 11(a)(iii), the value of Common Shares shall be the current market price per Common Share (as determined pursuant to Section 11(d) hereof) on the date of the first occurrence of such a Common Share Event.

  • Upon the occurrence of a Share Event, the Issuer in its sole and absolute discretion may take the action described in (a), (b), (c) or (d) set out in Share Warrant Condition 4.

  • Notwithstanding the provisions of Condition 19(f)(C) (Merger Events and Tender Offers) and Condition 19(f)(D) (Additional Adjustment Events), if a Share Event occurs during the period from the relevant Cut-off Date to any Valuation Date (both dates inclusive), the relevant Final Price of the Affected Share shall be the price determined by the Calculation Agent as being its good faith estimate of the fair market value of the Affected Share.

  • The Issuer shall give notice as soon as practicable to the Holders in accordance with General Condition 11 stating the occurrence of the Share Event, giving details thereof and the action proposed to be taken in relation thereto.

  • However, teaming arrangements between FFRDCs and eligible organizations are allowed if permitted under the sponsoring agreement between the Federal Government and the specific FFRDC.The USAMRMC is committed to supporting small businesses.


More Definitions of Share Event

Share Event has the meaning assigned to it in Section 2.11(b) (Mandatory Prepayment Event).
Share Event means any one or more of the following:
Share Event means any share dividend, share split (forward or reverse), share consolidation, recapitalization or similar event in respect of the Common Shares.
Share Event means, in respect of any Share, the occurrence of a Merger Event, a Tender-Offer, a Nationalization, an Insolvency, a Delisting, or a Liquidity Event.

  • Forfeiture Event means the occurrence of at least one of the following (a) the Corporation is required, pursuant to a determination made by the Securities and Exchange Commission or by the Audit Committee of the Board, to prepare a material accounting restatement due to the noncompliance of the Corporation with any financial reporting requirement under applicable securities laws as a result of misconduct, and the Committee determines that (1) the Participant knowingly engaged in the misconduct, (2) the Participant was grossly negligent with respect to such misconduct or (3) the Participant knowingly or grossly negligently failed to prevent the misconduct or (b) the Committee concludes that the Participant engaged in fraud, embezzlement or other similar misconduct materially detrimental to the Corporation.

  • Voting Rights Triggering Event means the failure of the Company to pay dividends on the Preferred Stock with respect to six or more quarterly periods (whether or not consecutive).

  • Public event means any event that can be attended by the

  • Completed Transaction means two counter deals of the same size (opening a position and closing a position): buy then sell and vice versa.

  • Change in Control Transaction means the occurrence of any of the following events:

  • Pre-Event Transferee shall have the meaning set forth in Section 7(e) hereof.

  • Ownership Change Event means the occurrence of any of the following with respect to the Company: (i) the direct or indirect sale or exchange in a single or series of related transactions by the stockholders of the Company of securities of the Company representing more than fifty percent (50%) of the total combined voting power of the Company’s then outstanding securities entitled to vote generally in the election of Directors; (ii) a merger or consolidation in which the Company is a party; or (iii) the sale, exchange, or transfer of all or substantially all of the assets of the Company (other than a sale, exchange or transfer to one or more subsidiaries of the Company).

  • Reclassification Event means any of the following: (a) any reclassification or recapitalization of PubCo Shares (other than a change in par value, or from par value to no par value, or from no par value to par value, or as a result of a subdivision or combination or any transaction subject to Section 4.1(e)), (b) any merger, consolidation or other combination involving PubCo, or (c) any sale, conveyance, lease or other disposal of all or substantially all the properties and assets of PubCo to any other Person, in each of clauses (a), (b) or (c), as a result of which holders of PubCo Shares shall be entitled to receive cash, securities or other property for their PubCo Shares.

  • Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.

  • Change Event means any merger, de-merger, amalgamation, consolidation, reorganization, joint operation or service arrangement, corporate restructuring or any other business arrangement involving the DTH Operator or any change of control or change in the management or acquisition of majority stake or controlling stake of the DTH Operator or acquisition by the DTH Operator of a majority stake or a controlling stake in any other entity or selling the whole or a substantial portion of the DTH Operator’s assets and/ or purchasing the whole or a substantial portion of the assets of another entity.

  • Private event means a social gathering or event attended

  • Qualifying Change in Control means the date on which there occurs a Change in Control that also qualifies as: (i) a change in the ownership of the Corporation, as determined in accordance with Section 1.409A-3(i)((5)(v) of the Treasury Regulations, (ii) a change in the effective control of the Corporation, as determined in accordance with Section 1.409A-3(i)((5)(vi) of the Treasury Regulations, or (iii) a change in the ownership of a substantial portion of the assets of the Corporation, as determined in accordance with Section 1.409A-3(i)((5)(vii) of the Treasury Regulations.

  • Change of Control Triggering Event means the occurrence of both a Change of Control and a Rating Event.
