Share Securities definition

Share Securities means Securities relating to a single Share;
Share Securities means the RP Share Security, the CNA Share Security and the Norwegian Share Security and such other pledges/charges over shares in any of the Obligors as may be executed in favour of the Security Trustee from time to time as security for the obligations of the Obligors under this Agreement;
Share Securities means the Dutch Share Security, the Belgian Share Securities, the Danish Share Securities, the Irish Share Securities and such other pledges/charges over shares of any of the Obligors as may be executed in favour of the Security Trustee from time to time pursuant to clause 10.18;

More Definitions of Share Securities

Share Securities means each Original Obligor Share Security, each Euroweb Romania Share Pledge, the Dutch Share Security, each Invitel Technocom Share Security, each Invitel Telecom Share Security, each Invitel Austria Share Pledge, each Turkish Subsidiary Share Security, each Invitel IH Share Security and any other security deposit, pledge, charge or mortgage over shares in any member of the Group entered into in favour of the Security Trustee pursuant to clause 25.2 (Additional Guarantors).
Share Securities means the Borrower Share Securities, the RP Share Security, the CNA Share Security, the Stipdon Share Security, the Telekabel Hungary Share Security and such other pledges/charges over shares in any of the Obligors as may be executed in favour of the Security Agent from time to time as security for the obligations of the Obligors under this Agreement pursuant to clause 9.17 and, for the avoidance of doubt, shall not include any pledge or charge over the shares in TeleKabel Hungary not held by Stipdon;
Share Securities means the TeleKabel Share Securities and the Subsidiary Share Securities and such other pledges/charges over shares in any of the Material Subsidiaries as may be executed in favour of the Secured Parties from time to time as security for amounts owing to the Secured Parties (or any of them) in respect of any Indebtedness of the Obligors under this Agreement;
Share Securities means each Original Obligor Share Security, the Euroweb Romania Share Pledge, the Dutch Share Security, the HTCC Opco Share Security, the Invitel Telecom Share Security, the Memorex Share Securities and any other security deposit, pledge, charge or mortgage over shares in any member of the Group entered into in favour of the Security Trustee pursuant to clause 25.2 (Additional Guarantors).
Share Securities means each Original Obligor Share Security, the Euroweb Romania Share Pledge, the Dutch Share Security, the HTCC Opcos Share Securities and any other security deposit, pledge, charge or mortgage over shares in any member of the Group entered into in favour of the Security Trustee pursuant to clause 25.2 (Additional Guarantors).

  • Permitted Cure Security means an equity security of the Borrower having no mandatory redemption, repurchase or similar requirements prior to 91 days after the Latest Maturity Date of all Classes of Loans or Commitments, and upon which all dividends or distributions (if any) shall be payable solely in additional shares of such equity security.

  • Delaware Secretary means the Secretary of State of the State of Delaware.

  • Private Securities has the meaning set forth in Annex A hereto.

  • BofA Securities means BofA Securities, Inc.

  • NIM Securities As defined in the tenth Recital to this Agreement.

  • Private Securities Transaction means any securities transaction relating to new offerings of securities which are not registered with the Securities and Exchange Commission, provided however that transactions subject to the notification requirements of Rule 3050 of the Financial Industry Regulatory Authority’s (FINRA) Conduct Rules, transactions among immediate family members (as defined in the interpretation of the FINRA Board of Governors on free-riding and withholding) for which no associated person receives any selling compensation, and personal securities transactions in investment company and variable annuity securities shall be excluded.

  • Derivative Securities means any securities or rights convertible into, or exercisable or exchangeable for (in each case, directly or indirectly), Common Stock, including options and warrants.

  • Rule 144A Securities means Securities of a series designated pursuant to Section 2.01 as entitled to the benefits of Section 4.03(b).

  • Fixed Income Securities means Debt Securities created and issued by, inter alia, Central Government, State Government, Local Authorities, Municipal Corporations, PSUs, Public Companies, Private Companies, Bodies Corporate, Unincorporated SPVs and any other entities which may be recognized / permitted which yield a fixed or variable rate by way of interest, premium, discount or a combination of any of them.

  • Spin-Off Securities means equity share capital of an entity other than the Issuer or options, warrants or other rights to subscribe for or purchase equity share capital of an entity other than the Issuer.

  • Lock-Up Securities has the meaning set out in Section 5(l).

  • Series A Securities means the Company's Series A 9 3/8% Junior Subordinated Deferrable Interest Debentures due May 1, 2028 as authenticated and issued under this Indenture.

  • U.S. Securities means Securities issued by an issuer that is organized under the laws of the United States or any State thereof or that are otherwise traded in the United States, and shall include American Depositary Receipts.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Index Securities means Securities of those companies which are at the relevant time the constituent companies of the Index, any Securities used to track the performance of such Securities constituting the Index at the relevant time or such other Securities designated by the Manager.

  • indenture to be qualified means this Indenture.

  • Securities Act (Ontario) means the Securities Act, R.S.O. 1990, c.S.5, as amended, and the regulations thereunder, unless otherwise specified, as the same exist on the date hereof.

  • Qualified Public Offering means the sale by the Company, in an ------------------------- underwritten public offering registered under the 1933 Act, of shares of the Company's Common Stock having an aggregate offering value of at least $10 million and where the per share price to the public multiplied by the number of shares of Common Stock issued under the Purchase Agreement and this and the other Executive Stock Agreements (adjusted for stock splits and other recapitalizations) is at least $30,000,000.
