Shortfall Adjustment definition

Shortfall Adjustment means the reduction to the distributions to certain Classes pursuant to the Plan, in the following order: (a) first, distributions to the holders of 2026 Notes Claims on account of the No-Call Settlement Amount; (b) second, distributions to the holders of 2016 Notes Claims on account of the Make-Whole Settlement Amount; (c) third, on a pro rata basis, postpetition interest payments payable to the General Unsecured Claims against Chemtura Corporation and the 2026 Notes Claims, and (d) fourth, on a pro rata basis, payments payable on account of the General Unsecured Claims against Chemtura Corporation and 2026 Notes Claims.

  • For purposes of this Agreement, the Fair Market Value of the Escrowed Shares to be released from the Share Escrow Account after a final determination of the Profit Shortfall Adjustment shall be determined based upon the average closing prices of the Purchaser's Common Stock on the Nasdaq National Market System for the twenty trading days immediately preceding the date of such final determination.

Shortfall Adjustment is an amount equal to the Shortfall; provided, however, that (i) the "Shortfall Adjustment" shall be deemed to be zero (0) if LifeMinders' Net Cash and Cash Equivalents at August 31, 2001 are at least Forty Eight Million Nine Hundred Thousand Dollars ($48,900,000) and (ii) in no event shall the "Shortfall Adjustment" be greater than One Million Seven Hundred Fifty Thousand Dollars ($1,750,000).

Related to Shortfall Adjustment

  • CPI Adjustment means the quotient of (i) the CPI for the month of January in the calendar year for which the CPI Adjustment is being determined, divided by (ii) the CPI for January of 2007.

  • True-Up Adjustment means any Annual True-Up Adjustment or Interim True-Up Adjustment, as the case may be.

  • Available Funds Shortfall Amount means, as of any Payment Date, the amount, if any, by which the aggregate amount required to be paid pursuant to clauses first through twelfth of Section 4.4(a) of the Sale and Servicing Agreement exceeds the Available Funds for such Payment Date.
