Shortfall Threshold definition

Shortfall Threshold means three million dollars ($3,000,000), which will be increased by an amount equal to the product of (a) the Minimum Quarterly Distribution multiplied by (b) the number of additional Common Units received by NEE Partners following the Closing Date;
Shortfall Threshold has the meaning set forth in Section 4.8.2.
