SI Canada definition

SI Canada means Summer Infant Canada, Limited, a corporation formed under the laws of the Province of New Brunswick.
SI Canada. SI Europe", "SI Holdings" and "SI USA" each have the respective meaning set forth in the Preamble hereto.

  • SI shall immediately communicate to SI Canada notice of any claim or proceeding, whether by court proceedings or otherwise, that may result in civil liability to SI and SI Canada shall, on posting security reasonably sufficient to protect SI relative to such claim or proceeding, be entitled to assume control of the defence and settlement of such claim or proceeding.

  • The "manufacturing value" will be the price charged by SI Canada to wholesalers for Products manufactured by or on behalf of SI Canada, excluding any taxes required to be collected or charged by SI Canada in relation to such sale, which will ultimately be sold in the Territory.

  • SI Canada shall indicate on the label of every unit of the Products sold that it is produced under license from SI.

  • The foregoing shall not prevent SI Canada or its authorized distributors from advertising the Products and in connection therewith using the Proprietary Marks then generally being used by SI.

  • SI Canada shall perform its obligations hereunder in full compliance with applicable local laws and regulations.

  • Xxxxx has no control over the content of third party sites and accepts no responsibility or liability for them or for any loss or damage that may arise from your use of them.

  • SI Canada will be responsible for all travel expenses and a per diem fee of One Thousand United States Dollars (US $1,000).

  • U.S. Affiliate means the U.S. registered broker-dealer affiliate of an Underwriter;

  • Canadian Security Agreement means the general security agreement, dated as of the date hereof (as amended, supplemented or otherwise modified from time to time), between the Borrower as “Debtor”, and Agent.

  • Mexico means the United Mexican States.

  • U.S. means the United States of America.

Domestic septage does not include liquid or solid material removed from a septic tank, cesspool, or similar treatment works that receives either commercial wastewater or industrial wastewater and does not include grease removed from grease trap at a restaurant.

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • Canadian Security Documents means the Canadian Security Agreement, any share pledge agreement governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations, and each other agreement, document or instrument executed by any Loan Party governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations.

  • Non-Core Assets means: (1) all intangible present and possible future authorizations, rights, interests and other intangible assets related to all “western” DBS orbital locations other than the 148 degree orbital slot (as the term “western” is used by the FCC) held by the Company and/or any of its Subsidiaries at any time; (2) all intangible present and possible future authorizations, rights, interests and other intangible assets related to the fixed satellite service in the Ku-band, extended Ku-band, Ka-band and C-band held by the Company and/or any of its Subsidiaries at any time; (3) all present and possible future intangible authorizations, rights, interests and other intangible assets related to any mobile satellite service held by the Company and/or any of its Subsidiaries at any time; (4) all present and possible future intangible authorizations, rights, interests and other intangible assets related to local multi-point distribution service; and (5) any Subsidiary of the Company the assets of which consist solely of (i) any combination of the foregoing and (ii) other assets to the extent permitted under the provision described under the second paragraph of Section 4.19 of this Indenture.

  • SSC means the Secondary School Certificate (Standard X) examination conducted by Maharashtra State Board of Secondary and Higher Secondary Education or its equivalent certificate awarded by a recognised Board;
