Sibling Member definition

Sibling Member means each of Xxxx Xxxxx Xxxxxxx, Xxxxx X. XxXxxx, III, and Xxxxxxx X. XxXxxx (each an “original Sibling Member”) and any Qualified Successor or (except for purposes of Sections 2.6 and the second sentence of Section 3.3), Interim Successor who succeeds any of them as a Member.

Examples of Sibling Member in a sentence

  • XxXxxx, or, in the event of his death or Incapacity, the XxXxxx Family Committee, determine for any reason that the designee of the Sibling Member is not suitable to be appointed to serve on the XxXxxx Family Committee, a different Qualified or Interim Successor, as the case may be, may be appointed by the XxXxxx Family Committee to act in place of such Sibling Member.

  • Should there be no person meeting the definition of Qualified Successor available to be designated by the Sibling Member, he or she may appoint his or her spouse or any other descendant of Xxxxx X.

  • If at any time there is no Qualified or Interim Successor to a Sibling Member or no Qualified or Interim Successor deemed pursuant to the prior sentence to be suitable to serve, then, unless and until a suitable Qualified or Interim Successor is appointed by the XxXxxx Family Committee, such Sibling Member shall have no successor and the XxXxxx Family Committee shall consist of the remaining Members.

  • Any such appointment of a Qualified or Interim Successor shall be made by an acknowledged written instrument delivered by the Sibling Member to Xxxxx X.

  • For purposes of this Section 3, each Member shall be deemed to own the Shares that are owned by the Sibling Group of such Member or, if such Member is not a Sibling Member, such Member’s predecessor who was a Sibling Member.

Related to Sibling Member

  • Founding Member means any individual who is either:

  • Life Member means an Individual appointed as a Life Member of the Club under clause 5.2.

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Voting Member means a Member holding one or more Voting Shares.

  • Contributing Member shall have the meaning set forth in Section 3.2(b).

  • Selling Member has the meaning set forth in Section 10.5(a).

  • Presiding Member means the presiding member of a committee or the deputy presiding member, or a member of the committee when performing a function of the presiding member in accordance with the Act;

  • Former Member means a member that has withdrawn from a qualified authority under this section or a prior member of a qualified authority that has been dissolved under this section.

  • Other Member means a Voting Member who is not an Eligible Account Holder or a Supplemental Eligible Account Holder.

  • Retired member means any former member receiving a retirement allowance or any former member who has filed the necessary documents for retirement benefits and is no longer contributing to the retirement system;

  • crew member means a person assigned by an operator to duty on an aircraft during a flight duty period;

  • Continuing Member means a member of the Board of Directors of the Company who either (a) was a member of the Company's Board of Directors on the Effective Date and has been such continuously thereafter or (b) became a member of such Board of Directors after the Effective Date and whose election or nomination for election was approved by a vote of the majority of the Continuing Members then members of the Company's Board of Directors.

  • New member means a person first employed on or after Septem- ber 1, 2005, including a former member who withdrew retirement contributions under Government Code 822.003 and is reemployed on or after September 1, 2005.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Faculty member means any person hired by the college or District to conduct classroom or teaching activities or who is otherwise considered by the college to be a member of faculty.

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Preferred Member means a Member holding Preferred Units.

  • Contributing Partner means each Partner contributing (or deemed to have contributed on termination and reconstitution of the Partnership pursuant to Section 708 of the Code or otherwise) a Contributed Property.

  • Class B Stockholder means (i) the registered holder of a share of Class B Common Stock at the Effective Time and (ii) the initial registered holder of any shares of Class B Common Stock that are originally issued by the Corporation after the Effective Time.

  • Bona fide member means an individual who participates in activities of a qualified organization

  • Class B Limited Partner means any Person executing (by power of attorney or otherwise) this Agreement as of the date hereof as a Class B Limited Partner or hereafter admitted to the Partnership as a Class B Limited Partner as herein provided, but shall not include any Person who has ceased to be a Class B Limited Partner in the Partnership.

  • Class B Holder means the Person in whose name a Class B Certificate is registered in the Certificate Register, except that, solely for the purpose of giving any consent, request or waiver pursuant to this Agreement, the interest evidenced by any Class B Certificate registered in the name of the Transferor, Servicer, or any Person actually known to an Authorized Officer of Trustee to be an Affiliate of the Transferor or Servicer, shall not be taken into account in determining whether the requisite percentage necessary to effect any such consent, request or waiver shall have been obtained.

  • Transferring Member has the meaning set forth in Section 9.4.

  • Investor Limited Partner means any Limited Partner so designated at the time of its admission as a partner of the Partnership.
