Subject to Clause 13.1, for the avoidance of doubt, the restriction contained in this Clause 13 shall continue to apply after the completion of the Global Offering and the matters and arrangements referred to or contemplated in this Agreement or, for so long as any of the Sole Sponsor or the Sole Global Coordinator still remain as sponsor or adviser to the Company, the termination of this Agreement.
For the avoidance of doubt, the sponsor fees of the Sole Sponsor (other than accrued out-of-pocket expenses) shall not be deducted from the underwriting commission payable by the Company to the Sole Sponsor.
Without prejudice to the foregoing, each of the Warrantors agrees not to make any amendment or supplement to the Offering Documents or any of them without the prior approval of the Sole Sponsor and the Sole Global Coordinator.
The Sole Sponsor has reviewed the relevant documents and information provided by our Group, has obtained necessary representations and confirmations from our Company and our Directors and has participated in the due diligence and discussions with our management and our PRC Legal Advisers.
Such letter shall be delivered by the Reporting Accountant to the Sole Sponsor and CEBI (for itself and on behalf of the Hong Kong Underwriters) or their Hong Kong legal advisors on or before the Prospectus Date.
