S&P Criteria definition
S&P Criteria means the criteria published in January 1999 as amended in June 2000 which enable entities rated lower than a specified level to participate in structured finance transactions which, through collateralisation, are rated at a higher level (as referred to, in part, in the article entitled New Interest Rate Currency Swap Criteria Broadens Allowable Counterparties in the January 1999 issue of S&P's Structured Finance publication).
S&P Criteria means the criteria published on 17 December 2003 which enable entities rated lower than a specified level to participate in structured finance transactions which, through collateralisation, are rated at a higher level and for the purposes of calculating the Collateral Amount the parties shall have regard to the article entitled Global Interest Rate and Currency Swaps: Calculating the Collateral Required Amount published on 26 February 2004; and
S&P Criteria means a duly appointed member of the Audit and Conflicts Committee who had not been, at the time of such appointment or at any time in the preceding five years, (a) a direct or indirect legal or beneficial owner of interests in EPD or TPP, as applicable, or any of its Affiliates (excluding de minimis ownership interests having a value of less than $1 million), (b) a creditor, supplier, employee, officer, director, family member, manager or contractor of EPD or TPP, as applicable, or any of its Affiliates, or (c) a person who controls (whether directly, indirectly or otherwise) EPD or TPP, as applicable, or any of its Affiliates or any creditor, supplier, employee, officer, director, manager or contractor of EPD or TPP, as applicable, or any of its Affiliates.

Subject to giving prior written notice to Party B and S&P, Party A may, without the consent of Party B, amend and/or restate this Agreement solely for the purposes of, and to the extent required for, the documentation of such other swap counterparty "replacement options" referred to in the S&P Criteria.
