Special Concentration Limit definition

Special Concentration Limit has the meaning set forth in the definition of Concentration Percentage.
Special Concentration Limit means, at any time, with respect to any Special Obligor (together with its Affiliates or subsidiaries), the product of (i) the applicable percentage set forth below corresponding to Moody’s and S&P short-term debt ratings for such Special Obligor at such time or such percentage as may be otherwise set forth below with respect to such Special Obligor and (ii) the Net Receivables Balance at such time: A-1+ and P-1 14.50 % A-1 and P-1 9.57 % A-2 or lower or unrated and P-2 or lower or unrated 7.25 % provided, that notwithstanding the foregoing grid:
Special Concentration Limit means, for any Obligor or Financing Party while such Obligor or Financing Party is a Special Obligor, the percentage applicable to such Special Obligor and designated as the “Special Concentration Limit” in the written approval of such Obligor or Financing Party as a Special Obligor by the Agent and the Class Agents.

Examples of Special Concentration Limit in a sentence

  • Either the Seller or the Agent may cancel the designation of an Obligor as a Designated Obligor or any Special Concentration Limit for any Obligor, by notice in substantially the form of Exhibit D delivered by it to the other at least three Business Days prior to the date on which such cancellation shall become effective.

  • ER = the outstanding balance of all Eligible Receivables on such date, minus an amount equal to the sum of (i) the aggregate amount by which the outstanding balance of Eligible Receivables of each Obligor exceeds the Standard Concentration Limit or the Special Concentration Limit for such Obligor and (ii) the aggregate amount by which the outstanding balance of Eligible Receivables of all Government Obligors exceeds the Government Concentration Limit, less the amount specified in clause (i) hereof.

Special Concentration Limit. At any time for a Special Obligor, in relation to the aggregate outstanding Balance of Receivables owed by such Special Obligor and its Affiliates (if any), the applicable concentration limit established for such Special Obligor by the Agent and communicated in writing to Borrower; provided, however that the establishment and maintenance of any such Special Concentration Limit shall be subject to the satisfaction of the Rating Agency Condition and/or an increase in the percentage set forth in clause (i) of the definition ofRequired Reserve Factor Floor; provided, further, however, that any Special Concentration Limit may be cancelled by the Agent upon not less than five (5) Business Days written notice to the Loan Parties.
