Special Maturity Payment Amount definition

Special Maturity Payment Amount means the amount calculated in accordance with Exhibit I.
Special Maturity Payment Amount means as of any date of payment, the sum of (A) the Investment Amount minus the aggregate of all of the payments received by the Investor Representative in respect of the Revenue Interests (including the Under Performance Payments) and (B) the amount that the Investors would need to receive to yield an internal rate of return on the Investment Amount equal to two percent (2%) determined after taking into account all of the amounts received by the Investor Representative prior to such date of payment under the Transaction Documents (other than any payments made as a reimbursement of expenses (including legal fees) incurred by the Investors and any indemnification amounts paid as reimbursement to any Investor Indemnified Party to extent such amounts were previously or contemporaneously paid to a third party in connection with any Third Party Claim) and the time at which such payments were received.
Special Maturity Payment Amount means the amount calculated in accordance with E xhibit E. “Special Termination Amount” means the amount calculated in accordance with S chedule 1.3.

  • If (A) the Investor Representative has not received payments equal to the Hard Cap by the Legal Maturity Date (after giving effect to any payments made on the Legal Maturity Date) and (B) no Special Termination Event, Default or Event of Default has occurred or is continuing, the Company shall pay the Special Maturity Payment Amount on the Legal Maturity Date.

  • If (A) the Investor Representative has not received payments equal to the Hard Cap by the Outside Maturity Date (after giving effect to any payments made on the Outside Maturity Date) and (B) no Special Termination Event, Default or Event of Default has occurred or is continuing, the Company shall pay the Special Maturity Payment Amount to the Investor Representative within five (5) Business Days following the Outside Maturity Date.


More Definitions of Special Maturity Payment Amount

Special Maturity Payment Amount means, as of the Legal Maturity Date, the sum of (a) the Hard Cap less the aggregate of (i) all of the payments of the Company in respect of the Total Fixed Payments and the Total Included Product Payments (including any Under Performance Payment or Generic Product Payment) made to the Investor prior to such date and (ii) any amounts received by the Investor pursuant to the Insurance Policy, if any, plus (b) after taking into account the payments made under clause (a), the IRR True-Up Payment Amount, plus (c) any other Obligations (other than inchoate Obligations) payable by the Company Parties under this Agreement and the other Transaction Documents (if any).

  • Maturity Payment Amount shall have the meaning set forth in Section 2 of this Annex A.

  • Maturity Payment Date means the date falling on the fifth Business Day following the Valuation Date, provided, however, that if the Reference Portfolio Return is not determined on such Valuation Date because the date at which the Reference Asset Return of one or more Reference Assets to be determined is postponed, then the Maturity Payment Date will be the fifth Business Day following the latest of such postponed dates at which the Reference Portfolio Return is determined; in each case where the Maturity Payment Date is so postponed, there will be no interest or other compensation made in respect of any such delay.
