Examples of Specified Consent in a sentence
Sellers shall advise Purchaser promptly and in writing with respect to any such Specified Consent which Sellers know or have substantial reason to believe will not be assigned to Purchaser hereunder.
If at the end of such 180 Day period the required consent has not been obtained, then the Parties shall discuss in good faith what further mutually agreeable actions (if any) will be taken with respect to such Asset (other than the Contract subject to the Specified Consent).
In cases in which the Asset subject to such a Specified Consent Requirement is a Property and such consent is not satisfied by Closing, the affected Property and the Assets primarily related to that Property shall not be transferred at Closing and the Unadjusted Purchase Price shall be reduced by the Allocated Value of the Property and related Assets.
No payment shall be made pursuant to this Section 1.3 in respect to any Specified Consent obtained and in full force and effect prior the Closing or after the date that is the two (2) year anniversary of the Closing Date.
For the avoidance of doubt, Buyer agrees that, except with respect to the Specified Consent Deliverable, obtaining such consents is not a condition to Closing and no representation, warranty or covenant of the Sellers contained herein will be breached or deemed breached and no condition of the Buyer will be deemed not to be satisfied solely as a result of the failure to obtain any such consent.
