Specified Preferred Equity definition

Specified Preferred Equity as applied to the Equity Interests of any Person, means Equity Interests of such Person of any class or classes (however designated) that ranks prior, as to the payment of dividends or as to the distribution of assets upon any voluntary or involuntary liquidation, dissolution or winding up of such Person, to any shares (or other interests) of other Equity Interests of such Person, and shall include, without limitation, cumulative preferred, non-cumulative preferred, participating preferred and convertible preferred Equity Interests; provided that such Specified Preferred Equity (i) pays a cash dividend on a monthly or quarterly basis and (ii) has a maturity date or is subject to mandatory redemption on a date certain that is not greater than ten (10) years from the date of initial issuance of such Preferred Equity, or gives the holder a put right, or the right to require the Borrower to redeem prior to ten (10) years from the date of the initial issuance of such Preferred Equity.
Specified Preferred Equity means those certain preferred Equity Interests of the Borrower expected to be issued in the first quarter of 2019, on substantially the terms disclosed in writing to the Lenders on or prior to the issuance date thereof.
Specified Preferred Equity means the shares of Series B-2 Convertible Preferred Stock of Comtech, par value $0.10 per share, authorized by the Board of Directors of Comtech and initially issued to the Permitted Holders pursuant to the Certificate of Incorporation, the Bylaws and applicable law, including any additional or exchanged shares issued after the Closing Date that are on the same terms and conditions as the Series B-2 Convertible Preferred Stock of Comtech, par value $0.10 per share, in effect on the Closing Date and which do not otherwise breach the terms of the Loan Documents.

  • Early Preference Share Valuation Date means the date specified as such in the relevant Early Preference Share Redemption Notice which shall fall not less than one day and not more than 180 days following the day such Early Preference Share Redemption Notice is given. The Early Preference Share Redemption Notice may provide that such date is subject to adjustment in accordance with certain disruption or adjustment events, as determined by the Calculation Agent.

  • Early Preference Share Redemption Date means the day falling ten Business Days after the Early Preference Share Valuation Date.
