Specified Swap Contract definition

Specified Swap Contract means any Swap Contract that is made or entered into at any time, or in effect at any time now or hereafter, whether as a result of an assignment or transfer or otherwise, in each case with respect to the Loans, between the Borrower and a Specified Swap Contract Provider.
Specified Swap Contract means any Swap Contract made or entered into at any time, or in effect at any time (whether heretofore or hereafter), whether directly or indirectly, and whether as a result of assignment or transfer or otherwise, between the Company and any Swap Provider which Swap Contract is entered into in accordance with Section 7.17, is or was intended by the Company to have been entered into, in part or entirely, for purposes of mitigating interest rate risk relating to any Offshore Loan (which intent shall conclusively be deemed to exist if the Company so represents to the Swap Provider in writing), and as to which the final scheduled payment by the Company is not later than the Termination Date.
Specified Swap Contract means any Swap Contract made or entered into at any time, or in effect at any time (whether heretofore or hereafter), whether directly or indirectly, and whether as a result of assignment or transfer or otherwise, between the Company and any Swap Provider which Swap Contract is or was intended by the Company to have been entered into, in part or entirely, for purposes of mitigating interest rate risk relating to any Loan (which intent shall conclusively be deemed to exist if the Company so represents to the Swap Provider in writing), and as to which the final scheduled payment by the Company is not later than the sixth anniversary of this Agreement.

  • In particular, a Swap Provider shall have no right to commence or prosecute any action against the Company under the Specified Swap Contract, to realize upon any of the Collateral or to set off against any deposit account of the Company with the Swap Provider.

More Definitions of Specified Swap Contract

Specified Swap Contract means any Swap Contract between any Loan Party and any Lender or any Affiliate of any Lender.
Specified Swap Contract means any Swap Contract made or entered into at any time, or in effect at any time (whether heretofore or hereafter), whether directly or indirectly, and whether as a result of assignment or transfer or otherwise, between Holdings and any Swap Provider which Swap Contract is or was intended by Holdings to have been entered into for purposes of mitigating interest rate or currency exchange risk relating to any Loan (which intent shall conclusively be deemed to exist if Holdings so represents to the Swap Provider in writing), and as to which the final scheduled payment by Holdings is not later than the Revolving Termination Date.
