Sponsor Background Intellectual Property definition

Sponsor Background Intellectual Property means technology, materials, intellectual property, technical information and other assets that have been developed by Sponsor independently of the Sponsored Project.
Sponsor Background Intellectual Property means all Intellectual Property which has been created by or in the possession of the Sponsor prior to the Effective Date and reduced to practice by Sponsor prior to the Effective Date or which is developed independently of the Agreement by Sponsor. The Sponsor shall retain the entire right, title and interest in and to Sponsor Background Intellectual Property under the Agreement.
Sponsor Background Intellectual Property means all copyrights, trademarks, discoveries, patents, know-how and Inventions conceived or reduced to practice by Sponsor prior to the Effective Date of this Agreement, or which are in the possession of the Sponsor prior to the date of the Agreement or which are developed independently of this Agreement by Sponsor, whether or not patentable, patented or the subject of a pending application for patent in the United States of America or any foreign country, including, but not limited to, any art, method, process or procedure, machine, manufacture, design, composition of matter, or any new and useful improvement of any of the foregoing. The Sponsor will retain the entire right, title and interest in and to Sponsor Background Intellectual Property under this Agreement.

  • Sponsor grants to University the right to use, reproduce, and distribute Sponsor Background Intellectual Property solely in connection with University’s performance of the Sponsored Project.

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;
