Sponsor Equity Contributions definition

Sponsor Equity Contributions means equity contributions made on or after the Closing Date by Sponsor or its Affiliates and any other stockholder of Holdings on the Closing Date to Holdings.
Sponsor Equity Contributions means, collectively, the Final Payment Contribution, each Final Plant Payment Contribution, each Initial Plant Payment Contribution, each Sponsor Turbine Contribution, each Sponsor Default Turbine Contribution, each Fraudulent Conveyance Payment Contribution, each Sponsor Completion Contribution and each Contribution made pursuant to Sections 2.1.8 and 2.1.9.

Sponsor Equity Contributions means, collectively, (a) the contribution by the Equity Investors of an aggregate amount of cash of not less than $374,992,909.09 to Holdings, and (b) the further contribution by Holdings to the Company of any portion of such cash contribution proceeds not used by Holdings to pay Transaction Expenses.
Sponsor Equity Contributions means a contribution by each of the Managing Member and Infinity World Development Corp in the amount estimated to be approximately $42,000,000 made during the period prior to the Effective Date through a remittance to the Administrative Agent for the benefit of Borrower and the proceeds of which, together with the proceeds of the First Lien Notes, shall be sufficient to fully fund the Interest Escrow Account.

The dollar limit on Catch-up Contributions under Code Section 414(v)(2)(B)(i) is $1,000 for taxable years beginning in 2002, increasing by $1,000 for each year thereafter up to $5,000 for taxable years beginning in 2006 and later years. After 2006, the $5,000 limit will be adjusted by the Secretary of the Treasury for cost-of-living increases under Code Section 414(v)(2)(C). Any such adjustments will be in multiples of $500.

  • Available Equity Amount means a cumulative amount equal to (without duplication):

  • Stock Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) of the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such, or such earlier date as a majority of the Board of Directors shall become aware of the existence of an Acquiring Person.

  • Reinvestment Deferred Amount means, with respect to any Reinvestment Event, the aggregate Net Cash Proceeds received by the Borrower or any of its Subsidiaries in connection therewith that are not applied to prepay the Loans pursuant to Section 2.09(b) as a result of the delivery of a Reinvestment Notice.

  • Pre-Funded Amount With respect to any date of determination, the amount on deposit in the Pre-Funding Account.

  • Excess Aggregate Contributions means, with respect to any Plan Year, the excess of:

  • Investment pool means an entity created under the Texas Gov- ernment Code to invest public funds jointly on behalf of the entities that participate in the pool and whose investment objectives in or- der of priority are preservation and safety of principal, liquidity, and yield.

  • Contribution Date has the meaning set forth in Section 4.3 hereof.

  • Investment Return means the investment return payable in respect of the Bond in accordance with Clause 5 Returns.
