Sponsor Investors has the meaning set forth in the recitals; provided that any decision to be made under this Agreement by the Sponsor Investors shall be made by the holders of a majority of all Sponsor Investor Registrable Securities

Sponsor Investors shall have the meaning assigned thereto in Section 10.04(b)(v)(A).

Sponsor Investors means, collectively, the Xxxxxxxxx Investor and the PSP Investor.

Examples of Sponsor Investors in a sentence

Subject to the Board Threshold, at each meeting of the Company’s stockholders at which the election of directors is to be considered, the Company shall nominate the Investor Director(s) designated by the Majority Sponsor Investors for election to the Board by the holders of Voting Stock and solicit proxies from the Company’s stockholders in favor of the election of Investor Directors.
If the Majority Sponsor Investors fail or decline to fill the vacancy, then the directorship shall remain open until such time as the Majority Sponsor Investors elect to fill it with a representative designated hereunder.
The procedures governing the conduct of the Coordination Committee shall be established from time to time by the written consent of the Sponsor Investors.
During any such period that the Majority Sponsor Investors are entitled to, but have failed or declined to, designate any Investor Director, the Majority Sponsor Investors shall have the right to designate one additional representative to attend all Board meetings as a non-voting observer.
Each of the Sponsor Investors, the Fortress Investor and the CM Shareholder shall be permitted to designate one representative (who may, but need not, be a Trustee) to participate on the Coordination Committee (the “Committee Members”), and shall be permitted to remove and replace such designee from time to time.

Sponsor Investors shall have the meaning set forth in the Preamble.

Sponsor Investors means the Yucaipa Shareholder and the GSCP Shareholders and, solely for purposes of Section 3.3 of this Agreement, the CM Shareholder.
