Sponsor Nominee definition

Sponsor Nominee is defined in Section 5.1.1.
Sponsor Nominee means the Zegna Non-Executive Director to be nominated by the IIAC Sponsor in accordance with the Zegna Articles of Association.

Examples of Sponsor Nominee in a sentence

  • The Sponsor Nominee, as applicable, shall have the right to attend (in person or remotely) any meetings of the board of directors (or similar governing body or committee thereof) of each subsidiary of the Company.

  • The Company shall pay the reasonable, documented out-of-pocket expenses incurred by the Sponsor Nominee in connection with his or her services provided to or on behalf of the Company, including attending meetings or events attended explicitly on behalf of the Company at the Company’s request.

  • In the event the Board reasonably finds the Sponsor Nominee to be unsuitable based upon one or more of the foregoing clauses (i) through (v) and reasonably objects to the identified Sponsor Nominee, Sponsor shall be entitled to propose a different Sponsor Nominee to the Board within 30 calendar days of the Company’s notice to Sponsor of its objection to the Sponsor Nominee and such replacement Sponsor Nominee shall be subject to the review process outlined above.

  • To the extent permitted by antitrust, competition or any other applicable Law, each of the Company and Sponsor agree and acknowledge that any Sponsor Nominee may, to the extent consistent with fiduciary duties, share confidential, non-public information about the Company and its subsidiaries (“Confidential Information”) with the Sponsor.

  • In the event the Board reasonably finds the Sponsor Nominee to be unsuitable based upon one or more of the foregoing clauses (i) through (v) and reasonably objects to the identified Sponsor Nominee, the Sponsors shall be entitled to propose, upon their mutual agreement, a different Sponsor Nominee to the Board within 30 calendar days of the Company’s notice to Sponsors of its objection to the Sponsor Nominee and such replacement Sponsor Nominee shall be subject to the review process outlined above.


More Definitions of Sponsor Nominee

Sponsor Nominee shall have the meaning given in subsection 2.1.2.
Sponsor Nominee means any individual designated by Sponsor for inclusion by Parent and the Parent Board, acting through the Nominating Committee, in the slate of nominees recommended to the Parent Shareholders for election as directors at any annual or special meeting of the Shareholders at which directors of Parent are to be elected.
