Stand-Off Agreement. Each Stockholder, if requested by the Company and the managing underwriter of an IPO, shall execute an agreement not to sell publicly or otherwise transfer or dispose of any securities of the Company held by such Stockholder for a specified period of time (not to exceed 180 days) following the effective date of the registration statement filed with the Commission in connection with the IPO provided that all members of the Company's Board of Directors, the Company's Chief Executive Officer, President and Chief Financial Officer execute such agreement.
